CONDITIONS TO THE OBLIGATIONS OF SELLERS AND PURCHASER. The obligations of Sellers and Purchaser hereunder to consummate each of the Contemplated Transactions are subject to the fulfillment to their reasonable satisfaction prior to or at the Closing of each of the following conditions, any of which may be waived by the party for whose benefit such condition has been imposed:
