CONDITIONS TO THE PURCHASER’S OBLIGATIONS TO CONSUMMATE THE TRANSACTIONS CONTEMPLATED HEREIN. The obligation of the Purchaser to purchase and pay for the Purchased Shares which the Purchaser has agreed to purchase at the Closing are subject to the fulfillment, on or before the Closing, of each of the following conditions, any of which may be waived in writing in whole or in part by the Purchaser:
