Conditions to the Sellers’ Representative’s Obligations. The Sellers’ Representative’s obligation to sell and deliver the Shares to Purchaser and to consummate the Closing shall be subject to the satisfaction of each of the following conditions, except to the extent the Sellers shall have waived in writing such satisfaction:
