CONDITIONS TO THE SHAREHOLDERS' OBLIGATION TO CLOSE. The obligations of the Shareholder to sell the Shares and otherwise consummate the transactions contemplated by this Agreement at the Closing are subject to the following conditions precedent, any or all of which may be waived by the Shareholder in her sole discretion, and each of which the Purchaser hereby agrees to use its best efforts to satisfy at or prior to the Closing:
