Common use of Conditions to the Transactions; Further Assurances Clause in Contracts

Conditions to the Transactions; Further Assurances. Each of the parties to this Agreement shall use its commercially reasonable efforts to: (a) effectuate the Transactions and to fulfill and cause to be fulfilled the conditions to closing under this Agreement; (b) comply promptly with all legal requirements that might be imposed on such party with respect to the Transactions and will promptly cooperate with and furnish information to any other party hereto in connection with any such requirements imposed upon such other party in connection with the Transactions; (c) obtain and make (and will cooperate with the other parties in obtaining or making) any consent, authorization, order or approval of, or any registration, declaration, or filing with, or an exemption by, any Governmental Entity, or other third party, required to be obtained or made by such party or its subsidiaries in connection with the Transactions or the taking of any action contemplated thereby or by this Agreement or any Related Agreement; and (d) at the request of another party hereto, execute and deliver such other instruments and do and perform such other acts and things as may be reasonably necessary or desirable for effecting completely the consummation of the Transactions.

Each Subject to Sections 5.6(c) and (d), each of the parties to this Agreement shall use its commercially reasonable efforts to: (a) effectuate the Transactions and to fulfill and cause to be fulfilled the conditions to closing Closing to be satisfied by it under this Agreement; (b) comply promptly with all legal requirements that might which may be imposed on such party with respect to the Transactions and will promptly cooperate with and furnish information to any other party hereto in connection with any such requirements imposed upon such other party in connection with the Transactions; (c) obtain and make (and will cooperate with the other parties in obtaining or making) any consent, authorization, order or approval of, or any registration, declaration, or filing with, or an exemption by, any Governmental Entity, or other third party, required to be obtained or made by such party or its subsidiaries Affiliates in connection with the Transactions or the taking of any action contemplated thereby by the Related Agreements or by this Agreement or any Related Agreement; and (d) at the request of another party hereto, execute and deliver such other instruments and do and perform such other acts and things as may be reasonably necessary or desirable for effecting completely the consummation of the Transactions.

Each Subject to Section 8.5(c), each of the parties to this Agreement shall use its commercially reasonable efforts to: (a) effectuate the Transactions transactions contemplated hereby and to fulfill and cause to be fulfilled the conditions to closing under this Agreement; (b) comply promptly with all legal requirements that might which may be imposed on such party with respect to the Transactions transactions contemplated hereby and will promptly cooperate with and furnish information to any other party hereto in connection with any such requirements imposed upon such other party in connection with the Transactionstransactions contemplated hereby; (c) obtain and make (and will cooperate with the other parties in obtaining or making) any material consent, authorization, order or approval of, or any registration, declaration, or filing with, or an exemption by, any Governmental EntityAuthority, or other third party, required to be obtained or made by such party or its subsidiaries in connection with the Transactions transactions contemplated hereby or the taking of any action contemplated thereby or by this Agreement or any Related Agreement; and (d) at the request of another party hereto, execute and deliver such other instruments and do and perform such other acts and things as may be reasonably necessary or desirable for effecting completely the consummation of the Transactionstransactions contemplated by this Agreement and the Related Documents.

Each From the Agreement Date until the earlier of (a) the termination of this Agreement pursuant to Section 7.1 hereto and (b) the Effective Time and subject to Section 4.6(c), each of the parties to this Agreement shall use its commercially reasonable efforts to: to (a) effectuate the Transactions and to fulfill and cause to be fulfilled the conditions to closing Closing to be satisfied by it under this Agreement; (b) comply promptly with all legal requirements that might which may be imposed on such party with respect to the Transactions and will promptly cooperate with and furnish information to any other party hereto in connection with any such requirements imposed upon such other party in connection with the Transactions; (c) obtain and make (and will cooperate with the other parties in obtaining or making) any consent, authorization, order or approval of, or any registration, declaration, or filing with, or an exemption by, any Governmental Entity, or other third party, required to be obtained or made by such party or its subsidiaries Affiliates in connection with the Transactions or the taking of any action contemplated thereby or by this Agreement or any Related Agreement; and (d) at the request of another party hereto, execute and deliver such other instruments and do and perform such other acts and things as may be reasonably necessary or desirable for effecting completely the consummation of the TransactionsMerger and the other Transactions and the Related Agreements.
