Common use of Conduct of Business in Compliance with Laws Clause in Contracts

Conduct of Business in Compliance with Laws. (i) Each of Management, Lessee and each Lessee Subsidiary has complied with all applicable laws, ordinances, regulations or orders or other requirements of any Governmental Authority applicable to it, except where the failure to be in such compliance would not have, either individually or in the aggregate, a Material Adverse Effect. (ii) Each of Management, Lessee and each Lessee Subsidiary has all licenses, permits, consents, approvals, authorizations, qualifications and orders of Governmental Authorities required for the conduct of its respective businesses as presently conducted, except where failure would not, individually or in the aggregate, have a Material Adverse Effect.
