Conduct of Business in Compliance with Regulatory and Contractual Requirements. The Partnership and each Affiliate thereof is operating and conducting its Subject Business in compliance with all applicable Legal Requirements, rights of concession, licenses, know-how or other proprietary rights of others, the failure to comply with which would reasonably be expected to have a Material Adverse Effect with respect to its Subject Business.
