Seller has conducted and is conducting Seller’s business in compliance with all applicable Laws of all Governments and Governmental Agencies. Neither the real or personal properties owned, leased, operated or occupied by Seller, nor the use, operation or maintenance thereof, (i) violates any Laws of any Government or Governmental Agency, or (ii) violates any restrictive or similar covenant, agreement, commitment, understanding or arrangement.

The Seller has conducted and is conducting Seller’s its business in compliance with all applicable Laws of all Governments and Governmental Agencieslaws. Neither the real or personal properties owned, leased, operated or occupied by Seller, the Seller nor the use, operation or maintenance thereof, nor any of the Acquired Assets, nor their use, operation or maintenance (i) violates any Laws of any Government or Governmental Agencylaws, or (ii) violates any restrictive or similar covenant, agreement, commitment, understanding or arrangement.
