Conduct of Business of Seller Pending Closing. During the period from the date of this Agreement to the Effective Time or earlier termination of this Agreement, except as set forth in the corresponding sections of the Disclosure Memorandum, as required by applicable law, as expressly required or contemplated by this Agreement, or consented to in writing by Buyer (which consent shall not be unreasonably withheld, conditioned or delayed):

Conduct of Business of Seller Pending Closing. During the period from the date of this Agreement to the Effective Time or earlier termination of this Agreement, except as expressly contemplated or permitted by this Agreement, set forth in the corresponding sections of the Disclosure Memorandum, as required by applicable law, as expressly required regulation or contemplated policies imposed by this Agreementany governmental entity, or consented to in writing by Buyer (which consent shall not be unreasonably withheld, conditioned or delayed):
