Conduct of Business Prior to a Closing. (a) Without the prior consent of the Buyer, except as contemplated by this Agreement and the Ancillary Documents, from and after the signing date of this Agreement and until the Purchase Closing Date, (1) the Company shall cause the Group Companies to (i) conduct the Business in all material respects in the ordinary course of business consistent with past practice, (ii) not change the scope of the Business and (iii) use their commercially reasonable efforts to maintain satisfactory relationships with cinemas, customers and others having material business relationships with them. (2)Except as contemplated by this Agreement and except as set forth on section 5.01, the Company shall cause the Group Companies to not do any of the following without the prior written consent of the Buyer:
