Common use of Conduct of the Contractor and its Affiliates Clause in Contracts

Conduct of the Contractor and its Affiliates. The Contractor and its Affiliates declare and warrant that it and its Affiliates’ directors, officers, advisors, employees and personnel have not made, offered or authorized, and will not make, offer or authorize at any time any payment, gift, promise or other advantage, directly or through any other Person, for the use or benefit of any public server or any political party, official of a political party or candidate for any political office, for the purpose of: (i) influencing any decision or omission by a public official, political party or candidate; (ii) obtaining or maintaining this Contract or any other business, or (iii) ensuring any other illegal benefit or advantage for the Contractor, its Affiliates, shareholders or any other Person. Furthermore, the Contractor shall ensure that it and its Affiliates: (i) will conform to and comply with any anti-bribery laws and regulations applicable to them and (ii) will establish and maintain adequate internal controls for compliance with the terms of this Article 32.2.

The Contractor Each of the Signing Companies and its Affiliates declare and warrant that it and its Affiliates’ directors, officers, advisors, employees and personnel have not made, offered or authorized, and will not make, offer or authorize at any time any payment, gift, promise or other advantage, directly or through any other Person, for the use or benefit of any public server or any political party, official of a political party or candidate for any political office, for the purpose of: (i) influencing any decision or omission by a public officialservant, political party or candidate; (ii) obtaining or maintaining this Contract or any other business, or (iii) ensuring any other illegal benefit or advantage for the Contractorany Signing Company, its Affiliates, shareholders or any other Person. Furthermore, the Contractor each Signing Company shall ensure that it and its Affiliates: (i) will conform to and comply with any anti-bribery laws and regulations applicable to them and (ii) will establish and maintain adequate internal controls for compliance with the terms of this Article 32.232.

The Contractor Each of the Participating Companies and its Affiliates declare and warrant that it and its Affiliates’ directors, officers, advisors, employees and personnel have not made, offered or authorized, and will not make, offer or authorize at any time any payment, gift, promise or other advantage, directly or through any other Person, for the use or benefit of any public server official or any political party, official of a political party or candidate for any political office, for the purpose of: (i) influencing any decision or omission by a public official, political party or candidate; (ii) obtaining or maintaining this Contract or any other business, or (iii) ensuring any other illegal benefit or advantage for the Contractorany Participating Company, its Affiliates, shareholders or any other Person. Furthermore, the Contractor each Participating Company shall ensure that it and its Affiliates: (i) will conform to and comply with any anti-anti- bribery laws and regulations applicable to them and (ii) will establish and maintain adequate internal controls for compliance with the terms of this Article 32.2.

The Contractor represents and its Affiliates declare and warrant warrants that it and its Affiliates’ directors, officers, advisors, employees and personnel have not made, offered or authorized, and will not make, offer or authorize at any time any payment, gift, promise or other advantage, directly or through any other Person, for the use or benefit of any public server official or any political party, official of a political party or candidate for any political office, for the purpose of: (i) influencing any decision or omission by a public official, political party or candidate; , (ii) obtaining or maintaining this Contract or any other business, (iii) approving any Recoverable Cost, or (iiiiv) ensuring any other illegal benefit or advantage for the Contractor, its Affiliates, its shareholders or any other Person. Furthermore, the Contractor shall ensure that it and its Affiliates: Affiliates (ia) will conform to and comply with any anti-bribery laws and regulations applicable to them and (iib) will establish and maintain adequate internal controls for compliance with the terms of this Article 32.232.1.

The Contractor represents and its Affiliates declare and warrant warrants that it and its Affiliates’ directors, officers, advisors, employees and personnel have not made, offered or authorized, and will not make, offer or authorize at any time any payment, gift, promise or other advantage, directly or through any other Person, for the use or benefit of any public server official or any political party, official of a political party or candidate for any political office, for the purpose of: (i) influencing any decision or omission by a public official, political party or candidate; , (ii) obtaining or maintaining this Contract or any other business, (iii) approving any Recoverable Cost, or (iiiiv) ensuring any other illegal benefit or advantage for the Contractor, its Affiliates, its shareholders or any other Person. Furthermore, the Contractor shall ensure that it and its Affiliates: Affiliates (ia) will conform to and comply with any anti-bribery laws and regulations applicable to them and (iib) will establish and maintain adequate internal controls for compliance with the terms of this Article 32.2.
