Common use of Conference Communications Clause in Contracts

Conference Communications. To the fullest extent permitted under the Act, any or all of the Managers may participate in any meeting of the Board of Managers, or of any duly constituted committee thereof, by any means of communication through which the participating Managers may simultaneously hear each other during such meeting. For the purposes of establishing a quorum and taking any action at the meeting, Managers participating pursuant to this Section 6.14 shall be deemed present in person at the meeting; and the place of the meeting shall be the place of origination of the conference telephone conversation or other comparable communication technique.

To the fullest extent permitted under the Act, any or all of the Managers Directors may participate in any meeting of the Board of ManagersDirectors, or of any duly constituted committee thereof, by any means of communication through which the participating Managers Directors may simultaneously hear each other during such meeting; provided, however, that all such conference communications must originate from the United States. For the purposes of establishing a quorum and taking any action at the meeting, Managers Directors participating pursuant to this Section 6.14 6.12 shall be deemed present in person at the meeting; and the place of the meeting shall be the place of origination of the conference telephone conversation or other comparable communication technique.
