Common use of Confidential Business Information; Non-Competition Clause in Contracts

Confidential Business Information; Non-Competition. (a) Executive acknowledges that certain business methods, creative techniques, and technical data of NBTB and its affiliates and the like are deemed by NBTB to be and are in fact confidential business information of NBTB or its affiliates or are entrusted to third parties. Such confidential information includes but is not limited to procedures, methods, sales relationships developed while in the service of NBTB or its affiliates, knowledge of customers and their requirements, marketing plans, marketing information, studies, forecasts, and surveys, competitive analyses, mailing and marketing lists, new business proposals, lists of vendors, consultants, and other persons who render service or provide material to NBTB or NBT Bank or their affiliates, and compositions, ideas, plans, and methods belonging to or related to the affairs of NBTB or NBT Bank or their affiliates. In this regard, NBTB asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. Notwithstanding the foregoing, information that would be generally known or available to persons skilled in Executive's fields shall be considered to be "clearly in the public domain" for the purposes of the preceding sentence. Executive agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTB, nor shall he use to the detriment of NBTB or its affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB or NBT Bank or their affiliates, any confidential business information obtained during the course of his employment by NBTB. The foregoing shall not be construed as restricting Executive from disclosing such information to the employees of NBTB or NBT Bank or their affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, confidential information in his possession.

Such confidential information includes but is not limited to procedures, methods, sales relationships developed while in the service of NBTB the Corporation or its affiliates, knowledge of customers and their requirements, marketing plans, marketing information, studies, forecasts, and surveys, competitive analyses, mailing and marketing lists, new business proposals, lists of vendors, consultants, and other persons who render service or provide material to NBTB the Corporation or NBT Bank its subsidiary banks or their affiliates, and compositions, ideas, plans, and methods belonging to or related to the affairs of NBTB the Corporation or NBT Bank its subsidiary banks or their affiliatesaffiliates (collectively, “Confidential Information”). In this regard, NBTB the Corporation asserts proprietary rights in all of its business information Confidential Information and that of its affiliates affiliates, except for such information as is clearly in the public domain. Notwithstanding the foregoing, information that would be generally known or available to persons skilled in Executive's ’s fields shall be considered to be "“clearly in the public domain" ” for the purposes of the preceding sentence. Executive acknowledges that in connection with his employment with the Corporation, Executive has had or may have access to such Confidential Information, and he agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBthe Corporation, nor shall he use to the detriment of NBTB the Corporation or its affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB the Corporation or NBT Bank its subsidiary banks or their affiliates, any confidential business information Confidential Information obtained during the course of his employment by NBTBthe Corporation. The foregoing In the event that disclosure is required by law, regulation, or order of a court or government authority, Executive agrees that as soon as practical and in any event no later than thirty (30) days after receiving notice that Executive is required to make such disclosure, Executive will provide notice to the Corporation of such requirement by law, regulation, order of a court or government authority. This Section 4(a) shall not be construed as restricting Executive from disclosing such information to the employees of NBTB the Corporation or NBT Bank its subsidiary banks or their affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB the Corporation any and all tangible, confidential information Confidential Information in his possession, whether tangible, electronic or intangible in form.

Such confidential information includes but is not limited to procedures, methods, sales relationships developed while in the service of NBTB Resulting Bank or its affiliates, knowledge of customers and their requirements, marketing plans, marketing information, studies, forecasts, and surveys, competitive analyses, mailing and marketing lists, new business proposals, lists of vendors, consultants, and other persons who render service or provide material to NBTB Zions Bancorp or NBT Resulting Bank or their affiliates, and compositions, ideas, plans, and methods belonging to or related to the affairs of NBTB Zions Bancorp or NBT Resulting Bank or their affiliates. In this regard, NBTB Resulting Bank asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. Notwithstanding the foregoing, information that would be generally known or available to persons skilled in Executive's fields shall be considered to be "clearly in the public domain" for the purposes of the preceding sentence. Executive agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBResulting Bank, nor shall he use to the detriment of NBTB Resulting Bank or its affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB Zions Bancorp or NBT Resulting Bank or their affiliates, any confidential business information obtained during the course of his employment by NBTBResulting Bank. The foregoing shall not be construed as restricting Executive from disclosing such information to the employees of NBTB Zions Bancorp or NBT Resulting Bank or their affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, confidential information in his possession.

(a) Executive acknowledges that certain business methods, creative techniques, during the term of his employment he has been and technical data of NBTB and its affiliates and the like are deemed by NBTB will continue to be entrusted with, have access to and are in fact become familiar with various trade secrets and other confidential business information of NBTB or its NBTB, NBT Bank and/or their affiliates or which have been developed and maintained at great effort and expense, have been kept protected and confidential, are entrusted of great value to third partiesNBTB, NBT Bank and/or their affiliates, and provide them with a significant competitive advantage. Such confidential information includes but is not limited to procedures, methods, sales relationships developed while in the service of NBTB NBTB, NBT Bank or its their affiliates, knowledge of customers and their requirements, marketing plans, marketing information, studies, forecasts, and surveys, competitive analyses, mailing and marketing lists, new business proposals, lists of vendors, consultants, and other persons who render service or provide material to NBTB or NBT Bank or their affiliates, and compositions, ideas, plans, and methods belonging to or related to the affairs of NBTB or NBT Bank or their affiliates. In this regard, NBTB asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. Executive agrees that he will hold in the strictest confidence and not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTB, nor shall he use to the detriment of NBTB NBTB, NBT Bank or its their affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB or NBTB, NBT Bank or their affiliates, any confidential business information obtained during the course of his employment by NBTB. The foregoing shall not be construed as restricting Executive from disclosing such information to the employees of NBTB or NBTB, NBT Bank or their affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, material containing NBTB’s confidential information including any photocopies, extracts or summaries of it) in his possession, custody or control.

Executive agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBZions Bancorp or the Bank, nor shall he use to the detriment of NBTB Zions Bancorp or its the Bank or their affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB Zions Bancorp or NBT the Bank or their affiliates, any confidential business information obtained during the course of his employment by NBTBthe Bank. The foregoing shall not be construed as restricting Executive from disclosing such information to the employees of NBTB or NBT the Bank or their its affiliates. Such confidential information includes but is not limited to procedures, methods, sales relationships developed while in the service of NBTB Surviving Bank or its affiliates, knowledge of customers and their requirements, marketing plans, marketing information, studies, forecasts, and surveys, competitive analyses, mailing and marketing lists, new business proposals, lists of vendors, consultants, and other persons who render service or provide material to NBTB Zions Bancorp or NBT Surviving Bank or their affiliates, and compositions, ideas, plans, and methods belonging to or related to the affairs of NBTB Zions Bancorp or NBT Surviving Bank or their affiliates. In this regard, NBTB Surviving Bank asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. Notwithstanding the foregoing, information that would be generally known or available to persons skilled in Executive's fields shall be considered to be "clearly in the public domain" for the purposes of the preceding sentence. Executive agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBSurviving Bank, nor shall he use to the detriment of NBTB Surviving Bank or its affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB Zions Bancorp or NBT Surviving Bank or their affiliates, any confidential business information obtained during the course of his employment by NBTBSurviving Bank. The foregoing shall not be construed as restricting Executive from disclosing such information to the employees of NBTB Zions Bancorp or NBT Surviving Bank or their affiliates. In this regard, NBTB the Corporation asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. In this regard, NBTB Consolidated Association asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. Notwithstanding the foregoing, information that would be generally known or available to persons skilled in Executive's fields shall be considered to be "clearly in the public domain" for the purposes of the preceding sentence. Executive agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBConsolidated Association, nor shall he use to the detriment of NBTB Consolidated Association or its affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB Zions Bancorp or NBT Bank Consolidated Association or their affiliates, any confidential business information obtained during the course of his employment by NBTBConsolidated Association. The foregoing shall not be construed as restricting Executive from disclosing such information to the employees of NBTB Zions Bancorp or NBT Bank Consolidated Association or their affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, confidential information in his possession.

Executive [Xxxxxxx] [Xxxxxxx] agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBZions Bancorp or the Bank, nor shall he use to the detriment of NBTB Zions Bancorp or its the Bank or their affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB Zions Bancorp or NBT the Bank or their affiliates, any confidential business information obtained during the course of his employment by NBTBrelationship with the Bank. The foregoing shall not be construed as restricting Executive [Xxxxxxx] [Wuckert] from disclosing such information to the employees of NBTB or NBT the Bank or their its affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, confidential information in his possession.

Executive acknowledges that in connection with his employment with NBTB, Executive has had or may have access to such Confidential Information, and he agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTB, nor shall he use to the detriment of NBTB or its affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB or NBT Bank or their affiliates, any confidential business information Confidential Information obtained during the course of his employment by NBTB. The foregoing In the event that disclosure is required by law, regulation, or order of a court or government authority, Executive agrees that as soon as practical and in any event no later than 30 days after receiving notice that Executive is required to make such disclosure, Executive will provide notice to the Company of such requirement by law, regulation, order of a court or government authority. This section 4(a) shall not be construed as restricting Executive from disclosing such information to the employees of NBTB or NBT Bank or their affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, confidential information Confidential Information in his possession, whether tangible, electronic or intangible in form.

(a) Executive Xxxxxxxx acknowledges that certain business methods, creative techniques, and technical data of NBTB Zions Bancorp and its Vectra and their affiliates and the like are deemed by NBTB Zions Bancorp and Vectra to be and are in fact confidential business information either of NBTB Zions Bancorp or its Vectra or their affiliates or are entrusted to third parties. Such confidential information includes but is not limited to procedures, methods, sales relationships developed while in the service of NBTB Zions Bancorp or its Vectra or their affiliates, knowledge of customers and their requirements, marketing plans, marketing information, studies, forecasts, and surveys, competitive analyses, mailing and marketing lists, new business proposals, lists of vendors, consultants, and other persons who render service or provide material to NBTB Zions Bancorp or NBT Bank Vectra or their affiliates, and compositions, ideas, plans, and methods belonging to or related to the affairs of NBTB Zions Bancorp or NBT Bank Vectra or their affiliates. In this regard, NBTB each of Zions Bancorp and Vectra asserts proprietary rights in all of its business information and that of its affiliates except for such information as is clearly in the public domain. Executive Xxxxxxxx agrees that he will not disclose or divulge to any third party, except as may be required by his duties hereunder, by law, regulation, or order of a court or government authority, or as directed by NBTBZions Bancorp or Vectra, nor shall he use to the detriment of NBTB Zions Bancorp or its Vectra or their affiliates or use in any business or on behalf of any business competitive with or substantially similar to any business of NBTB Zions Bancorp or NBT Bank Vectra or their affiliates, any confidential business information obtained during the course of his employment by NBTBrelationship with Vectra. The foregoing shall not be construed as restricting Executive Xxxxxxxx from disclosing such information to the employees of NBTB Vectra or NBT Bank or their its affiliates. On or before the Termination Date, Executive shall promptly deliver to NBTB any and all tangible, confidential information in his possession.
