Common use of Confidential Data Clause in Contracts

Confidential Data. A. UTK shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of SOYL, obtained by UTK as a result of its engagement hereunder, unless authorized, in writing by SOYL. UTK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, SOYL including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of SOYL. B. SOYL shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYL, or any officer, director, agent or employee of SOYL, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

B. SOYL COMPANY shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLCOMPANY, or any officer, director, agent or employee of SOYLCOMPANY, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

SOYL PRH shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLPRH, or any officer, director, agent or employee of SOYLPRH, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

UTK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, SOYL VISIJET INC. including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of SOYLof. B. SOYL VISIJET INC. shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLVISIJET INC., or any officer, director, agent or employee of SOYLVISIJET INC., any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

SOYL AVDU shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLAVDU, or any officer, director, agent or employee of SOYLAVDU, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

SOYL IYXI shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLIYXI, or any officer, director, agent or employee of SOYLIYXI, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

C. UTK shall not be required in the performance of its duties to divulge to SOYLAVDU, or any officer, director, agent or employee of SOYLAVDU, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

UTK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, SOYL TENTHGATE including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of SOYLof. B. SOYL TENTHGATE shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLTENTHGATE, or any officer, director, agent or employee of SOYLTENTHGATE, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

UTK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, SOYL RVTIF including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of SOYLof. B. SOYL RVTIF shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTK or confidential information revealed by UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTK. C. UTK shall not be required in the performance of its duties to divulge to SOYLRVTIF, or any officer, director, agent or employee of SOYLRVTIF, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.
