Common use of Confidential Data Clause in Contracts

Confidential Data. A. UTEK shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of CYBL, obtained by UTEK as a result of its engagement hereunder, unless authorized, in writing by CYBL. UTEK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, CYBL including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of. B. CYBL shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTEK or confidential information revealed by UTEK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTEK, and agreed to be bound by any confidentiality agreement entered into by UTEK with any third party for the purpose of reviewing technology acquisition opportunities. C. UTEK shall not be required in the performance of its duties to divulge to CYBL, or any officer, director, agent or employee of CYBL, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK may have or be able to obtain other than as a result of the relationship established by this Agreement.

Confidential Data. A. UTEK Except for its employees, agents and independent contractors, Consultants shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of CYBLBHI, obtained by UTEK Consultants as a result of its engagement hereunder, unless authorized, in writing by CYBL. UTEK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, CYBL including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor ofBHI. B. CYBL Except for its employees, agents and independent contractors or as required by law or the rules of any securities exchange or stock market, BHI shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTEK Consultants, the Plan, or confidential information revealed the Business obtained by UTEK obtained BHI as a result of its engagement hereunder, unless authorized, in writing, by UTEK, and agreed to be bound by any confidentiality agreement entered into by UTEK with any third party for the purpose of reviewing technology acquisition opportunitiesConsultants. C. UTEK Consultants shall not be required in the performance of its duties to divulge to CYBL, BHI or any officer, director, agent or employee of CYBLBHI, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such personpersons, firm or entity which may be a competitor or potential competitor ofof BHI) which UTEK Consultants may have or be able to obtain other otherwise than as a result of the relationship established by this Agreement. D. In any suit to enforce the provisions of this Section 11, the parties agree there shall be no adequate remedy at law and that the parties shall be entitled to seek injunctive relief.

CYBL MGCN shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTEK or confidential information revealed by UTEK UTK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTEK, and agreed to be bound by any confidentiality agreement entered into by UTEK with any third party for the purpose of reviewing technology acquisition opportunitiesUTK. C. UTEK UTK shall not be required in the performance of its duties to divulge to CYBLMGCN, or any officer, director, agent or employee of CYBLMGCN, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK UTK may have or be able to obtain other than as a result of the relationship established by this Agreement.

UTEK shall not be required in the performance of its duties to divulge to CYBLMKOS, or any officer, director, agent or employee of CYBLMKOS, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK may have or be able to obtain other than as a result of the relationship established by this Agreement.

C. UTEK shall not be required in the performance of its duties to divulge to CYBLMMGP, or any officer, director, agent or employee of CYBLMMGP, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK may have or be able to obtain other than as a result of the relationship established by this Agreement.

CYBL AOGS shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTEK or confidential information revealed by UTEK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTEK, and agreed to be bound by any confidentiality agreement entered into by UTEK with any third party for the purpose of reviewing technology acquisition opportunities. C. UTEK shall not be required in the performance of its duties to divulge to CYBLAOGS, or any officer, director, agent or employee of CYBLAOGS, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK may have or be able to obtain other than as a result of the relationship established by this Agreement.

UTEK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, CYBL TRDQ including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of. B. CYBL TRDQ shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTEK or confidential information revealed by UTEK obtained as a result of its engagement hereunder, unless authorized, in writing, by UTEK, and agreed to be bound by any confidentiality agreement entered into by UTEK with any third party for the purpose of reviewing technology acquisition opportunities. C. UTEK shall not be required in the performance of its duties to divulge to CYBLTRDQ, or any officer, director, agent or employee of CYBLTRDQ, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK may have or be able to obtain other than as a result of the relationship established by this Agreement.

CRGO, UTEK represents and warrants that it has established appropriate internal procedures for protecting the trade secrets and confidential information of, CYBL CRGO including, without limitation, restrictions on disclosure of such information to employees and other persons who may be engaged in such information to employees and other persons who may be engaged in rendering services to any person, firm or entity which may be a competitor of. B. CYBL CRGO shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of UTEK or confidential information revealed by UTEK obtained as a result of its engagement hereunder, unless authorized, authorized in writing, by UTEK, and agreed to be bound by any confidentiality agreement entered into by UTEK with any third party for the purpose of reviewing technology acquisition opportunities. C. UTEK shall not be required in the performance of its duties to divulge to CYBLCRGO, or any officer, director, agent or employee of CYBLCRGO, any secret or confidential information, knowledge, or data concerning any other person, firm or entity (including, but not limited to, any such person, firm or entity which may be a competitor or potential competitor of) which UTEK may have or be able to obtain other than as a result of the relationship established by this Agreement.
