Common use of Confidential Information excludes Clause in Contracts

Confidential Information excludes. a. Information in the public domain prior to its disclosure to a party or material which enters into the public domain after disclosure otherwise than by default of the receiving party; b. Information known to the recipient of the information by action of a third party not in breach of any obligation of confidentiality to the provider of the information; c. Information in the recipient’s possession before receipt from the provider and which was not acquired directly or indirectly from the provider; or d. Information independently developed by or for the recipient at any time, independently of the Confidential Information disclosed to it by the provider.
