Confidential Information; Inventions. (a) The Executive shall not disclose or use at any time, either during the Period of Employment or thereafter, any Confidential Information (as defined below) of which the Executive is or becomes aware, whether or not such information is developed by Executive, except to the extent that such disclosure or use is directly related to and required by the Executive’s performance in good faith of duties for the Company. The Executive will take all appropriate steps to safeguard Confidential Information in Executive’s possession and to protect it against disclosure, misuse, espionage, loss and theft. Notwithstanding the foregoing, the Executive may truthfully respond to a lawful and valid subpoena or other legal process, but shall give the Company the earliest possible notice thereof, shall, as much in advance of the return date as possible, make available to the Company and its counsel the documents and other information sought, and shall assist the Company and such counsel in resisting or otherwise responding to such process. Nothing in this Agreement prohibits Executive from reporting possible violations of federal law or regulation to any governmental agency or entity, or making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Executive does not need the prior authorization to make any such reports or disclosures and is not required to notify the Employer of such reports or disclosures. Confidential Information; Inventions. (a) The Executive 7.1 Employee shall not disclose or use at not, in any timemanner, for any reasons, either directly or indirectly, divulge or communicate to any person, firm or corporation, any confidential information concerning any matters not generally known in the document management software industry or otherwise made public by the Corporation which affects or relates to the Corporation's business, finances, marketing and/ or operations, research, development, inventions, products, designs, plans, procedures, or other data (collectively, "Confidential Information") except in the ordinary course of business or as required by applicable law. Without regard to whether any item of Confidential Information is deemed or considered confidential, material, or important, the parties hereto stipulate that as between them, to the extent such item is not generally known in the property casualty insurance industries, such item is important, material, and confidential and affects the successful conduct of the Corporation's business and good will, and that any breach of the terms of this Section 7.1 shall be a material and incurable breach of this Agreement.
7.2 Employee further agrees that all documents and materials furnished to Employee by the Corporation and relating to the Corporation's business or prospective business are and shall remain the exclusive property of the Corporation as the case may be. Employee shall deliver all such documents and materials to the Corporation upon demand therefor and in any event upon expiration or earlier termination of this Agreement. Any payment of sums due and owing to Employee by the Corporation upon such expiration or earlier termination shall be conditioned upon returning all such documents and materials, and Employee expressly authorizes the Corporation to withhold any payments due and owing pending return of such documents and materials.
7.3 All ideas, inventions, and other developments or improvements conceived or reduced to practice by Employee, alone or with others, during the Period term of Employment or thereafter, any Confidential Information (as defined below) of which the Executive is or becomes awarethis Agreement, whether or not such information is developed by Executiveduring working hours, except to that are within the extent that such disclosure or use is directly related to and required by the Executive’s performance in good faith of duties for the Company. Confidential Information; Inventions. (a) The Executive 7.1 Employee shall not disclose or use at not, in any timemanner, for any reasons, either directly or indirectly, divulge or communicate to any person, firm or corporation, any confidential information concerning any matters not generally known in MediaNet's industry or otherwise made public by MediaNet which affects or relates to MediaNet's business, finances, marketing and/ or operations, research, development, inventions, products, designs, plans, procedures, or other data (collectively, “Confidential Information”) except in the ordinary course of business or as required by applicable law. Without regard to whether any item of Confidential Information is deemed or considered confidential, material, or important, the parties hereto stipulate that as between them, to the extent such item is not generally known in the MediaNet's industry, such item is important, material, and confidential and affects the successful conduct of MediaNet’s business and good will, and that any breach of the terms of this Section 7.1 shall be a material and incurable breach of this Agreement.
7.2 Employee further agrees that all documents and materials furnished to Employee by MediaNet and relating to MediaNet’s business or prospective business are and shall remain the exclusive property of MediaNet as the case may be. Employee shall deliver all such documents and materials to MediaNet upon demand therefore and in any event upon expiration or earlier termination of this Agreement. Any payment of sums due and owing to Employee by MediaNet upon such expiration or earlier termination shall be conditioned upon returning all such documents and materials, and Employee expressly authorizes MediaNet to withhold any payments due and owing pending return of such documents and materials.
7.3 All ideas, inventions, and other developments or improvements conceived or reduced to practice by Employee, alone or with others, during the Period term of Employment or thereafter, any Confidential Information (as defined below) of which the Executive is or becomes awarethis Agreement, whether or not such information is developed by Executiveduring working hours, except to that are within the extent that such disclosure or use is directly related to and required by the Executive’s performance in good faith of duties for the Company. Confidential Information; Inventions. (a) The Executive 7.1 Employee shall not disclose or use at not, in any timemanner, for any reasons, either directly or indirectly, divulge or communicate to any person, firm or corporation, any confidential information concerning any matters not generally known in the document management software industry or otherwise made public by the Corporation which affects or relates to the Corporation's business, finances, marketing and/ or operations, research, development, inventions, products, designs, plans, procedures, or other data (collectively, "Confidential Information") except in the ordinary course of business or as required by applicable law. Without regard to whether any item of Confidential Information is deemed or considered confidential, material, or important, the parties hereto stipulate that as between them, to the extent such item is not generally known in the property casualty insurance industries, such item is important, material, and confidential and affects the successful conduct of the Corporation's business and good will, and that any breach of the terms of this Section 7.1 shall be a material and incurable breach of this Agreement.
7.2 Employee further agrees that all documents and materials furnished to Employee by the Corporation and relating to the Corporation's business or prospective business are and shall remain the exclusive property of the Corporation as the case may be. Employee shall deliver all such documents and materials to the Corporation upon demand therefore and in any event upon expiration or earlier termination of this Agreement. Any payment of sums due and owing to Employee by the Corporation upon such expiration or earlier termination shall be conditioned upon returning all such documents and materials, and Employee expressly authorizes the Corporation to withhold any payments due and owing pending return of such documents and materials.
7.3 All ideas, inventions, and other developments or improvements conceived or reduced to practice by Employee, alone or with others, during the Period term of Employment or thereafter, any Confidential Information (as defined below) of which the Executive is or becomes awarethis Agreement, whether or not such information is developed by Executiveduring working hours, except to that are within the extent that such disclosure or use is directly related to and required by the Executive’s performance in good faith of duties for the Company. The Executive will take all appropriate steps to safeguard Confidential Information in Executive’s possession and to protect it against disclosure, misuse, espionage, loss and theft. Nothing in this Agreement prohibits Executive from reporting possible violations of federal law or regulation to any governmental agency or entity, or making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Executive does not need the prior authorization to make any such reports or disclosures and is not required to notify the Employer of such reports or disclosures.

The Company encourages Executive, to the extent legally permitted, to give the Company the earliest possible notice of any such report or disclosure.
(i) Pursuant to the Defend Trade Secrets Act of 2016, the Executive acknowledges that he may not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of Confidential Information that: (a) is made in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney solely for the purpose of reporting or investigating a suspected violation of law; or (b) is made in a complaint or other document that is filed in a lawsuit or other proceeding, provided that such filing is made under seal. Further, the Executive understands that the Company will not retaliate against him in any way for any such disclosure made in accordance with the law. (ii) Nothing in this Agreement prohibits or any other agreement that Executive has with the Company shall prohibit Executive from (i) disclosing the underlying facts or circumstances relating to claims of sexual harassment, sex discrimination, sexual assault, failure to prevent an act of workplace harassment or discrimination based on sex or an act of retaliation against a person for reporting possible violations of federal law harassment or regulation discrimination based on sex or any other unlawful or potentially unlawful conduct or (ii) responding to any governmental agency a valid subpoena, court order or entitysimilar legal process; provided, or however, that prior to making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Confidential Information; Inventions. (a) The Executive shall recognizes that he has had and will continue to have access to secret and confidential information regarding the Company, including but not disclose or use limited to its customer list, products, know-how, and business plans. In consideration of the obligations undertaken by the Company herein, Executive will not, at any time, either during or after his employment hereunder, reveal, divulge or make known to any person, any information acquired by Executive during the Period course of Employment or thereafterhis employment, any Confidential Information (which is treated as defined below) of which the Executive is or becomes aware, whether or not such information is developed by Executive, except to the extent that such disclosure or use is directly related to and required confidential by the Executive’s performance Company, including but not limited to its customer list, not otherwise in good faith the public domain, other than in the ordinary course of duties for the Companybusiness during his employment hereunder. The Executive will take all appropriate steps to safeguard Confidential Information in Executive’s possession and to protect it against disclosure, misuse, espionage, loss and theft. The Executive shall deliver to the Company at the termination of the Period of Employment, or at any time the Company may request, all memoranda, notes, plans, records, reports, computer tapes and software and other documents and data (and copies thereof) relating to the Confidential Information or the Work Product (as hereinafter defined) of the business of the Company or any of its Affiliates which the Executive may then possess or have under Executive’s control. Notwithstanding the foregoing, the Executive may truthfully respond to a lawful and valid subpoena or other legal process, but shall give the Company the earliest possible notice thereof, shall, as much in advance of the return date as possible, make available to the Company and its counsel the documents and other information sought, and shall assist the Company and such counsel in resisting or otherwise responding to such process. Nothing in this Agreement prohibits Executive from reporting possible violations of federal law or regulation to any governmental agency or entity, or making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Executive does not need the prior authorization to make any such reports or disclosures and is not required to notify the Employer of such reports or disclosuresthis Section 8 shall survive Executive's employment hereunder.
(b) As used The Company has hired the Executive to work full time so that anything the Executive produces during the Term and in connection with his performance under this AgreementAgreement is the property of the Company. Confidential Information; Inventions. (b) As used In the event that any trade secrets or other confidential information covered by Section 7.1 of this Agreement is required to be produced by Executive pursuant to legal process, Executive shall give the Corporation notice of such legal process within a reasonable time, but not later than ten (10) business days prior to the date such disclosure is to be made, unless Executive has received less notice, in which event Executive shall immediately notify the Corporation. The Corporation shall have the right to object to any such disclosure, and if the Corporation objects (at the Corporation's cost and expense) in a timely manner so that Executive is not subject to penalties for failure to make such disclosure, Executive shall not make any disclosure until there has been a court determination on the Corporation's objections. If disclosure is required by a court order, final beyond right of review, or if the Corporation does not object to the disclosure, Executive shall make disclosure only to the extent that disclosure is unequivocally required by the court order, and Executive will exercise reasonable efforts at the Corporation's expense, to obtain reliable assurance that confidential treatment will be accorded the Confidential Information.
(c) Executive agrees promptly to disclose in writing to the Corporation any invention, design, system, process, development or other discovery (collectively, "inventions and discoveries") conceived, created or made by him during the period of time that this Agreement remains in full force and effect, whether during or after working hours, in any business in which the Corporation is then engaged or which otherwise relates to any product or service dealt in by the Corporation and such inventions and discoveries shall be the Corporation's sole property, regardless of whether such inventions and discoveries are otherwise treated as work performed for hire and regardless of whether such inventions and discoveries are or can be patented, registered or copyrighted. Upon the Corporation's request, Executive shall execute and assign to the Corporation all applications for copyrights, trademarks and letters patent of the United States and such foreign countries as the Corporation may designate, and Executive shall execute and deliver to the Corporation such other instruments as the Corporation deems necessary to vest in the Corporation the sole ownership of all rights, title and interest in and to such inventions and discoveries, as well as all copyrights and/or patents. Executive shall also give the Corporation all assistance it may reasonably require, including the giving of testimony in any suit, action, investigation or other proceeding in connection with the foregoing. If services in connection with applications for copyrights and/or patents are performed by Executive at the Corporation's request after the termination of his employment and consultancy hereunder, the Corporation shall pay him reasonable compensation for such services rendered after termination of this Agreement.

Confidential Information; Inventions. (a) The Executive 7.1 Employee shall not disclose or use at not, in any timemanner, for any reasons, either directly or indirectly, divulge or communicate to any person, firm or corporation, any confidential information concerning any matters not generally known in the property and casualty insurance industry or otherwise made public by the Corporation which affects or relates to the Corporation's business, finances, marketing and/ or operations, research, development, inventions, products, designs, plans, procedures, or other data (collectively, "Confidential Information") except in the ordinary course of business or as required by applicable law. 7.2 Employee further agrees that all documents and materials furnished to Employee by the Corporation and relating to the Corporation's business or prospective business are and shall remain the exclusive property of the Corporation as the case may be. Employee shall deliver all such documents and materials to the Corporation upon demand therefor and in any event upon expiration or earlier termination of this Agreement. Any payment of sums due and owing to Employee by the Corporation upon such expiration or earlier termination shall be conditioned upon returning all such documents and materials, and Employee expressly authorizes the Corporation to withhold any payments due and owing pending return of such documents and materials.
7.3 All ideas, inventions, and other developments or improvements conceived or reduced to practice by Employee, alone or with others, during the Period term of Employment or thereafter, any Confidential Information (as defined below) of which the Executive is or becomes awarethis Agreement, whether or not such information is developed by Executiveduring working hours, except to that are within the extent that such disclosure or use is directly related to and required by the Executive’s performance in good faith of duties for the Company. The Executive will take all appropriate steps to safeguard Confidential Information in Executive’s possession and to protect it against disclosure, misuse, espionage, loss and theft. (b) The Executive understands that nothing in this Agreement is intended to limit the Executive’s right (i) to discuss the terms, wages, and working conditions of the Executive’s employment to the extent permitted and/or protected by applicable labor laws, (ii) to report Confidential Information in a confidential manner either to a federal, state or local government official or to an attorney where such disclosure is solely for the purpose of reporting or investigating a suspected violation of law, (iii) testify in an administrative, legislative or judicial proceeding about alleged criminal conduct or alleged sexual harassment; or (iv) to disclose Confidential Information in an anti-retaliation lawsuit or other legal proceeding, so long as that disclosure or filing is made under seal and the Executive does not otherwise disclose such Confidential Information, except pursuant to court order. The Company encourages Executive, to the extent legally permitted, to give the Company the earliest possible notice of any such report or disclosure.
(i) Pursuant to the Defend Trade Secrets Act of 2016, the Executive acknowledges that he may not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of Confidential Information that: (i) is made in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney solely for the purpose of reporting or investigating a suspected violation of law; or is made in a complaint or other document that is filed in a lawsuit or other proceeding, provided that such filing is made under seal. Further, the Executive understands that the Company will not retaliate against him in any way for any such disclosure made in accordance with the law. In the event a disclosure is made, and the Executive files any type of proceeding against the Company alleging that the Company retaliated against him because of his disclosure, the Executive may disclose the relevant Confidential Information to his attorney and may use the Confidential Information in the proceeding if (i) the Executive files any document containing the Confidential Information under seal, and (ii) the Executive does not otherwise disclose the Confidential Information except pursuant to court or arbitral order.
(ii) Nothing in this Agreement prohibits or any other agreement that Executive has with the Company shall prohibit Executive from (i) disclosing the underlying facts or circumstances relating to claims of sexual harassment, sex discrimination, sexual assault, failure to prevent an act of workplace harassment or discrimination based on sex or an act of retaliation against a person for reporting possible violations of federal law harassment or regulation discrimination based on sex or any other unlawful or potentially unlawful conduct or (ii) responding to any governmental agency a valid subpoena, court order or entitysimilar legal process; provided, or however, that prior to making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Executive does not need the prior authorization to make any such reports disclosure, Executive shall provide the Company with written notice of the subpoena, court order or disclosures and is not required to notify the Employer similar legal process sufficiently in advance of such reports disclosure to afford the Company a reasonable opportunity to challenge the subpoena, court order or disclosuressimilar legal process.
(bc) As used in this Agreement, the term “Confidential Information” means information that is not generally known to the public and that is used, developed or obtained by the Company or its Affiliates in connection with their respective businesses, including, but not limited to, information, observations and data obtained by the Executive while employed by the Company or its Affiliates or any predecessors thereof (including those obtained prior to the Effective Date) concerning (i) the business or affairs of the Company or its Affiliates (or such predecessors), (ii) products or services, (iii) fees, costs and pricing structuresstructures and strategies, (iv) designs, (v) analyses, (vi) drawings, photographs and reports, (vii) computer software, including operating systems, applications and program listings, (viii) flow charts, manuals and documentation, (ix) data basesdatabases, (x) accounting and business methods, (xi) inventions, devices, new developments, product roadmaps, methods and processes, whether patentable or unpatentable and whether or not reduced to practice, (xii) customers and clients and clients, customer or client lists, and the preferences of, and negotiations with, customers and clients, (xiii) personnel information of other employees and independent contractors (including their compensation, unique skills, experience and expertise, and disciplinary matters), (xiv) other copyrightable works, (xivxv) all production methods, processes, technology and trade secrets, and (xvxvi) all similar and related information in whatever form. Confidential Information; Inventions. (a) The Executive 7.1. Employee shall not disclose or use at not, in any timemanner, for any reasons, either directly or indirectly, divulge or communicate to any person, firm or corporation, any confidential information concerning any matters not generally known in DubLi's industry or otherwise made public by DubLi which affects or relates to DubLi's business, finances, marketing and/ or operations, research, development, inventions, products, designs, plans, procedures, or other data (collectively, “Confidential Information”) except in the ordinary course of business or as required by applicable law. 7.3. The Executive Consultant shall deliver to the Company at the termination of the Period of EmploymentConsulting Term, or at any time the Company may request, all memoranda, notes, plans, records, reports, computer tapes and software and other documents and data (and copies thereof) relating to the Confidential Information or the Work Product (as hereinafter defined) of the business of the Company or any of its Affiliates which the Executive Consultant may then possess or have under Executive’s his control. Notwithstanding the foregoing, the Executive Consultant may truthfully respond to a lawful and valid subpoena or other legal process, but shall give the Company the earliest possible notice thereof, shall, as much in advance of the return date as possible, make available to the Company and its counsel the documents and other information sought, and shall assist the Company and such counsel in resisting or otherwise responding to such process. Nothing As used in this Section 6, “Affiliate” of the Company means an individual or entity that directly or indirectly through one or more intermediaries, controls, or is controlled by, or is under common control with, the Company. As used in this definition, the term “control,” including the correlative terms “controlling,” “controlled by” and “under common control with,” means the possession, directly or indirectly, of the power to direct or cause the direction of management or policies (whether through ownership of securities or any partnership or other ownership interest, by contract or otherwise) of any entity. The Company and the Consultant each acknowledge and understand that nothing in this Agreement prohibits Executive is intended to prohibit the Consultant from reporting possible violations use of federal law his general knowledge of business operations or regulation the industries in which the Company does or intends to any governmental agency or entity, or making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Executive does not need the prior authorization to make any such reports or disclosures and is not required to notify the Employer of such reports or disclosuresdo business.
(b) As used in this Agreement, the term “Confidential Information” means information that is not generally known to the public and that is used, developed or obtained by the Company or its Affiliates in connection with their businessesits business, including, but not limited to, information, observations information and data obtained by the Executive Consultant while employed or engaged by the Company or any predecessors thereof (including those obtained prior to the Effective Date) concerning the Company’s (or such predecessor’s) (i) the business or affairs of the Company (or such predecessors)affairs, (ii) products or services, (iii) fees, costs and pricing structures, (iv) designs, (v) analyses, (vi) drawings, photographs and reports, (vii) computer software, including operating systems, applications and program listingslistings developed by the Company (or such predecessor), (viii) flow charts, manuals and documentation, (ix) data bases, (x) accounting and business methods, (xi) inventions, devices, new developments, methods and processes, whether patentable or unpatentable and whether or not reduced to practice, (xii) customers and clients and customer or client lists, (xiii) other copyrightable works, (xiv) all production methods, processes, technology and trade secrets, and (xv) all similar and related information in whatever form; provided, however, that the Company hereby acknowledges that the Consultant is the author of the book, AntiOxidant Adaptation, Its Role in Free Radical Pathology, that the Consultant shall retain ownership of all copyrights and other intellectual property rights therein during the Consulting Term and thereafter, and that such book is specifically excluded from the foregoing definition notwithstanding prior publication of such book directly by the Company; provided, further, that the Consultant hereby grants to the Company a royalty-free license in perpetuity to use such book for marketing, customer sales and similar purposes. Confidential Information will not include any information that has been published (other than a disclosure by the Executive Consultant in breach of this Agreement) in a form generally available to the public prior to the date the Executive Consultant proposes to disclose or use such information. Confidential Information; Inventions. (a) The Executive shall recognizes that he has had and will continue to have access to secret and confidential information regarding the Company, including but not disclose or use limited to its customer list, products, know-how, and business plans. Executive acknowledges that such information is of great value to the Company, is the sole property of the Company, and has been and will be acquired by him in confidence. Any writing, invention, design, system, process, development or becomes awarediscovery conceived, whether developed, created or not such information is developed by Executive, except to the extent that such disclosure or use is directly related to and required made by the Executive’s performance in good faith , alone or with others, during the period of duties for the Company. The Executive will take all appropriate steps his employment hereunder and applicable to safeguard Confidential Information in Executive’s possession and to protect it against disclosure, misuse, espionage, loss and theft. The Executive shall deliver to the Company at the termination of the Period of Employment, or at any time the Company may request, all memoranda, notes, plans, records, reports, computer tapes and software and other documents and data (and copies thereof) relating to the Confidential Information or the Work Product (as hereinafter defined) of the business of the Company or any of its Affiliates which trading in general, whether or not patentable, registrable, or copyrightable shall become the Executive may then possess or have under Executive’s control. Notwithstanding the foregoing, the Executive may truthfully respond to a lawful sole and valid subpoena or other legal process, but shall give the Company the earliest possible notice thereof, shall, as much in advance exclusive property of the return date as possible, make available Company.
(c) The Executive shall disclose the same promptly and completely to the Company and its counsel shall, during the period of his employment hereunder and at any time and from time to time hereafter, (i) execute all documents and other information sought, and shall assist the Company and such counsel in resisting or otherwise responding to such process. Nothing in this Agreement prohibits Executive from reporting possible violations of federal law or regulation to any governmental agency or entity, or making other disclosures that are protected under the whistleblower provisions of federal law or regulation. Executive does not need the prior authorization to make any such reports or disclosures and is not required to notify the Employer of such reports or disclosures.
(b) As used in this Agreement, the term “Confidential Information” means information that is not generally known to the public and that is used, developed or obtained requested by the Company or its Affiliates for vesting in connection with their businesses, including, but not limited to, information, observations and data obtained by the Executive while employed by the Company or any predecessors thereof (including those obtained prior the entire right, title and interest in and to the Effective Date) concerning (i) the business or affairs of the Company (or such predecessors)same, (ii) products execute all documents requested by the Company for filing such applications for and procuring patents, trademarks, service marks or servicescopyrights as the Company, in its sole discretion, may desire to prosecute, and (iii) fees, costs and pricing structures, (iv) designs, (v) analyses, (vi) drawings, photographs and reports, (vii) computer softwaregive the Company all assistance it may reasonably require, including operating systemsthe giving of testimony in any suit, applications action, investigation or other proceeding, in order to obtain, maintain and program listings, (viii) flow charts, manuals protect the Company's right therein and documentation, (ix) data bases, (x) accounting and business methods, (xi) inventions, devices, new developments, methods and processes, whether patentable or unpatentable and whether or not reduced to practice, (xii) customers and clients and customer or client lists, (xiii) other copyrightable works, (xiv) all production methods, processes, technology and trade secrets, and (xv) all similar and related information in whatever form. Confidential Information will not include any information that has been published (other than a disclosure by the Executive in breach of this Agreement) in a form generally available to the public prior to the date the Executive proposes to disclose or use such information. Confidential Information will not be deemed to have been published merely because individual portions of the information have been separately published, but only if all material features comprising such information have been published in combinationthereto.

Confidential Information; Inventions. (a) The Executive shall recognizes that he has had and will continue to have access to secret and confidential information regarding the Company, including but not disclose or use limited to its customer list, products, know-how, and business plans. Executive acknowledges that such information is of great value to the Company, is the sole property of the Company, and has been and will be acquired by him in confidence. In consideration of the obligations undertaken by the Company herein, Executive will not, at any time, either during or after his employment hereunder, reveal, divulge or make known to any person, any information acquired by Executive during the Period course of Employment or thereafterhis employment, any Confidential Information (which is treated as defined below) of which the Executive is or becomes aware, whether or not such information is developed by Executive, except to the extent that such disclosure or use is directly related to and required confidential by the Executive’s performance Company, including but not limited to its customer list, not otherwise in good faith the public domain, other than in the ordinary course of duties for the Companybusiness during his employment hereunder.
