Confidential Proprietary and Trade Secret Information of Others. Executive represents and warrants that he is not under any pre-existing obligation that conflicts or is in any way inconsistent with the provisions of this Agreement. Executive represents and warrants that he has not granted any rights or licenses to any intellectual property or technology that would conflict with Executive’s obligations under this Agreement. Executive further represents and warrants that he has disclosed to the Bank and Bancorp any agreement to which Executive is or has been a party regarding the confidential information of others and Executive understands that Executive’s employment by the Bank and Bancorp will not require Executive to breach any such agreement. Executive will not disclose protected confidential information of third parties to the Bank or Bancorp nor induce the Bank and Bancorp to use any such protected confidential information received from another under an agreement or understanding prohibiting such use or disclosure.
