CONFIDENTIALITY AND ANNOUNCEMENTS. 18.1 Each Council ("Covenanter") shall, both during the currency of this Agreement and at all times following its termination or expiry, keep private and confidential and shall not use or disclose (whether for its own benefit or that of any third party) any Confidential Information about the business of and/or belonging to any other Council or third party which has come to its attention as a result of or in connection with this Agreement. 18.2 The obligation set out in Clause 18.1 (Confidentiality and Announcements) shall not relate to information which:- 18.2.1 comes into the public domain or is subsequently disclosed to the public (other than through default on the part of the Covenanter or any other person to whom the Covenanter is permitted to disclose such information under this Agreement); or 18.2.2 is required to be disclosed by law; or 18.2.3 was already in the possession of the Covenanter (without restrictions as to its use) on the date of receipt; or 18.2.4 is required or recommended by the rules of any governmental or regulatory authority including any guidance from time to time as to openness and disclosure of information by public bodies; or 18.2.5 is necessary to be disclosed to provide relevant information to any insurer or insurance broker in connection with obtaining any insurance required by this Agreement. 18.3 Where disclosure is permitted under Clause 18.2.3 (Confidentiality and Announcements) or 18.2.4 (Confidentiality and Announcements), the recipient of the information shall be subject to a similar obligation of confidentiality as that contained in this Clause 18 (Confidentiality and Announcements) and the disclosing Council shall make this known to the recipient of the information. 18.4 No Council shall make any public statement or issue any press release or publish any other public document relating, connected with or arising out of this Agreement or any other agreement relating to the City Deal without the prior written consent of the other Councils.

CONFIDENTIALITY AND ANNOUNCEMENTS. 18.1 25.1 The Councils shall comply with the confidentiality provisions of the Lead Council set out in the Project Agreement as if they were set out in this Agreement.
25.2 Each Council ("Covenanter") shall, both during the currency of this Agreement and at all times following its termination or expiry, keep private and confidential and shall not use or disclose (whether for its own benefit or that of any third party) any Confidential Information about the business of and/or belonging to any other Council or third party the Contractor which has come to its attention as a result of or in connection with this Agreement, in particular (but without prejudice to the generality of the foregoing) Confidential Information relating to the Project Agreement.
18.2 25.3 The obligation set out in Clause 18.1 (Confidentiality and Announcements) 25.1 shall not relate to information which:-
18.2.1 25.3.1 comes into the public domain or is subsequently disclosed to the public (other than through default on the part of the Covenanter or any other person to whom the Covenanter is permitted to disclose such information under this Agreement); or
18.2.2 25.3.2 any disclosure to enable a determination to be made under Clause 17 (Dispute Resolution);
25.3.3 is required to be disclosed by law; or
18.2.3 25.3.4 was already in the possession of the Covenanter (without restrictions as to its use) on the date of receipt; or
18.2.4 25.3.5 is required or recommended by the rules of any governmental or regulatory authority body including any guidance from time to time as to openness and disclosure of information by public bodies; or
18.2.5 25.3.6 is necessary to be disclosed to provide relevant information to any insurer or insurance broker in connection with obtaining any insurance required by this Agreement.
18.3 25.4 Where disclosure is permitted under Clause 18.2.3 (Confidentiality and Announcements) Clauses 25.3.3, 25.3.4 or 18.2.4 (Confidentiality and Announcements)25.3.5, the recipient of the information shall be subject to a similar obligation of confidentiality as that contained in this Clause 18 (Confidentiality and Announcements) 25 and the disclosing Council shall make this known to the recipient of the information.
18.4 25.5 No Council shall make any public statement (which shall include speaking or presenting at public conferences or other analogous situations) or issue any press release or publish any other public document relating, connected with or arising out of this Agreement and/or the Project Agreement (excluding any disclosure required by legal or any other agreement relating to the City Deal regulatory requirements) without obtaining the prior written consent approval of the other CouncilsCouncils as to the contents thereof and the manner of its presentation and publication provided that prior approval shall be required if such public statement materially affects any Council.
25.6 Each Council agrees to make available to the other Councils any books and records which may be required for the purposes of an internal audit and the Councils agree that any disclosure of such books and records to an appointed external auditor shall not breach the provisions of this Agreement.

20.2.4 any disclosure of the Covenanter or any other person to whom the Covenanter information which is permitted to disclose such information under this Agreement); or

18.2.3 was already lawfully in the possession of the Covenanter (without restrictions as receiving party, prior to its use) on the date of receipt; or
18.2.4 is required or recommended disclosure by the rules of disclosing party;
20.2.5 any governmental or regulatory authority including any guidance from time to time as to openness and disclosure of information by public bodiesany Authority to any other department, office or agency of the Government or their respective advisers or to any person engaged in providing services to the Authority for any purpose related to or ancillary to the Contract; or
18.2.5 is necessary to be disclosed to provide relevant 20.2.6 any provision of information to any insurer the Authorities’ own professional advisers or insurance broker in connection with obtaining any insurance required by this Agreementadvisers.
18.3 20.3 Where disclosure is permitted under Clause 18.2.3 (Confidentiality and Announcements) 20.2.3. or 18.2.4 Clause 20.2.4. 18.4 15.4 No Council Authority shall make any public statement or issue any press release or publish any other public document relating, connected with or arising out of this Agreement excluding any disclosure required by legal or any other agreement relating to the City Deal regulatory requirements) without obtaining the prior written consent approval of each of the other CouncilsAuthorities as to the contents thereof and the manner of its presentation and publication.
15.5 Where information may be required to be disclosed pursuant to the Freedom of Information Act 2000 (“FOIA”) the following shall apply
15.5.1 All parties shall comply with the FOIA and shall take account of the Code of Practice on the Discharge of the Functions of Public Authorities under Part 1 of the FOIA made pursuant to Section 45 of the Act
15.5.2 Where any Party receives a request for information in writing and that information is held by the other on behalf of the Party in receipt of the request the Party holding the information on behalf of the other shall promptly provide the Party in receipt of the request with such information as is necessary to enable it to comply or consider the request
15.5.3 For the purposes of sub-clause 15.5.2 “in writing” shall also include any request for information where the text of the request is (a) transmitted by electronic means (b) is received in legible form, and (c) is capable of being used for subsequent reference

CONFIDENTIALITY AND ANNOUNCEMENTS. 18.1 10.1 Each Council ("Covenanter") shall, both during of the currency Sellers severally undertakes to the Buyer to keep confidential the terms of this Agreement agreement and at all times following its termination or expiryproprietary information of, keep private and confidential all information which they have acquired about, the Company and shall not use or disclose the Subsidiaries and the Buyer’s Group (whether for its own benefit or that as such Group is constituted immediately before Closing) and, in the case of any third party) any Confidential Information the Buyer, all information which it has acquired about the business Company’s Group (as such Group is constituted immediately before Closing), and to use the information only for the purposes contemplated by this agreement.
10.2 A Seller does not have to keep confidential or to restrict its use of:
10.2.1 information that is or becomes public knowledge other than as a direct or indirect result of and/or belonging a breach of this agreement; or
10.2.2 information that it receives from a source not connected with the party to whom the duty of confidence is owed that it acquires free from any obligation of confidence to any other Council or third party which has come to its attention as a result of or in connection with this Agreementperson.
18.2 The obligation set out in Clause 18.1 (Confidentiality 10.3 Any Seller may disclose any information that it is otherwise required to keep confidential under this clause 10:
10.3.1 to such professional advisers, consultants and Announcements) shall not relate employees or officers of its Group as are reasonably necessary to information which:-
18.2.1 comes into advise on this agreement, or to facilitate the public domain or is subsequently disclosed to Transaction, if the public (other than through default on disclosing party procures that the part of the Covenanter or any other person people to whom the Covenanter information is permitted to disclose such information under this Agreement)disclosed keep it confidential as if they were that party; or
18.2.2 10.3.2 with the written consent of the Buyer; or
10.3.3 with the written consent of one party, if such information relates solely to that party; or
10.3.4 to the extent that the disclosure is required to be disclosed required:
a) by law; or
18.2.3 was already in the possession of the Covenanter (without restrictions as to its useb) on the date of receiptby a regulatory body, Taxation Authority or securities exchange; or
18.2.4 is required c) to make any filing with, or recommended by the rules of obtain any governmental authorisation from, a regulatory body, Taxation Authority or regulatory authority including any guidance from time to time as to openness and disclosure of information by public bodiessecurities exchange; or
18.2.5 d) under any arrangements in place under which negotiations relating to terms and conditions of employment are conducted; or
e) to protect the disclosing party’s interest in any legal proceedings, but shall use reasonable endeavours to consult the other parties and to take into account any reasonable requests they may have in relation to the disclosure before making it, and shall only disclose such information as is necessary under the circumstances.
10.4 Each party shall supply any other party with any information about itself, its Group or this agreement as such other party may reasonably require for the purposes of satisfying the requirements of a law, regulatory body or securities exchange to be disclosed to provide relevant information to any insurer which such other party is subject.
10.5 Except as required by or insurance broker in connection with obtaining any insurance required Official Requirement or by any other Relevant Authority, all announcements or circulars by, for or on behalf of any of the parties and relating to any matter provided for in this Agreement.
18.3 Where disclosure is permitted agreement or any document executed pursuant to this agreement shall, to the extent reasonably practicable under Clause 18.2.3 the circumstances, be approved in advance by the Buyer and the Sellers (Confidentiality and Announcements) or 18.2.4 (Confidentiality and Announcementsacting by the Sellers’ Representatives), the recipient of the information shall such approval not to be subject to a similar obligation of confidentiality as that contained in this Clause 18 (Confidentiality and Announcements) and the disclosing Council shall make this known to the recipient of the informationunreasonably withheld or delayed.
18.4 No Council shall make any public statement or issue any press release or publish any other public document relating, connected with or arising out of this Agreement or any other agreement relating to the City Deal without the prior written consent of the other Councils.

18.2.1 17.2.1 comes into the public domain or is subsequently disclosed to the public (other than through default on the part of the Covenanter or any other person to whom the Covenanter is permitted to disclose such information under this Agreement); or
18.2.2 17.2.2 any disclosure to enable a determination to be made under Clause 26 (Dispute Resolution); or
17.2.3 is required to be disclosed by law; or
18.2.3 17.2.4 was already in the possession of the Covenanter (without restrictions as to its use) on the date of receipt; or
18.2.4 17.2.5 is required or recommended by the rules of any governmental or regulatory authority body including any guidance from time to time as to openness and disclosure of information by public bodies; or
18.2.5 17.2.6 is necessary to be disclosed to provide relevant information to any insurer or insurance broker in connection with obtaining any insurance required by this Agreement.
18.3 17.3 Where disclosure is permitted under Clause 18.2.3 (Confidentiality and Announcements) 17.2.4 or 18.2.4 (Confidentiality and Announcements)17.2.5, the recipient of the information shall be subject to a similar obligation of confidentiality as that contained in this Clause 18 (Confidentiality and Announcements) 17 and the disclosing Council shall make this known to the recipient of the information.
18.4 17.4 No Council shall make any public statement or issue any press release or publish any other public document relating, connected with or arising out of this Agreement and/or the Project Agreement (excluding any disclosure required by legal or any other agreement relating to the City Deal regulatory requirements) without the prior written consent of the other CouncilsCouncil or of the Partnership Board.
