Confidentiality and Conduct. The Executive warrants that the Executive will not disclose to any other person any confidential information or trade secrets concerning the Company or any of its subsidiaries at any time during or after the Compensation Period and upon an Involuntary Termination prior to, or after the second anniversary of, a Change of Control, the Executive will at all times refrain from taking any action or making any statements, written or oral, which are intended to and do disparage the goodwill or reputation of the Company, its directors, officers or executives or which could adversely affect the morale of Company employees.
