Common use of Confidentiality and Nondisparagement Clause in Contracts

Confidentiality and Nondisparagement. The terms and provisions of this Agreement are confidential, and Employee represents and warrants that since receiving this Agreement, Employee has not disclosed, and going forward will not disclose, the terms and provisions of this Agreement to third parties, except as required by law or as reasonably necessary to enforce this Agreement. Notwithstanding the above, Employee may reveal the terms and provisions of this Agreement to members of Employee’s immediate family or to an attorney consulted for legal advice, provided that such persons agree to maintain the confidentiality of the Agreement. Employee represents and agrees that, since receiving this Agreement, Employee has not made, and going forward will not make, disparaging, defamatory, or derogatory remarks about the Company or its products, services, business practices, directors, officers, managers, or employees to anyone. The Company represents and agrees that, since receiving this Agreement, the Company, acting through its current members of the Board of Directors and the officer to whom Employee reports has not made, and going forward will not make, disparaging, defamatory, or derogatory remarks about Employee. Nothing in this Agreement shall prohibit Employee or the Company from participating in any communication with, or disclosing any information to, any representatives of any government agency referenced in Paragraph 5 of this Agreement or shall prohibit either the Company or Employee from providing truthful testimony in response to lawful process, or as otherwise required by law.

The Company represents and agrees that, since receiving this Agreement, the Company, acting through its current members of the Board of Directors and the officer to whom Employee reports reports: (i) has not made, and going forward will not make, disparaging, defamatory, or derogatory remarks about Employee; and (ii) has not taken, and going forward will not take, any action that may impair the relations between Employee and third parties that may be detrimental to or interfere with Employee or his business. Nothing in this Agreement shall prohibit Employee or the Company from participating in any communication with, or disclosing any information to, any representatives of any government agency referenced in Paragraph 5 6 of this Agreement or shall prohibit either the Company or Employee from providing truthful testimony in response to lawful process, or as otherwise required by law.

Notwithstanding the above, Employee that she may reveal the terms and provisions of this Agreement to members of Employee’s her immediate family or to an attorney consulted whom she may consult for legal advice, provided that such persons agree to maintain the confidentiality of the AgreementAgreement until such time as this Agreement is filed as an exhibit to the Company’s filings with the U.S. Securities and Exchange Commission. Employee represents and agrees that, warrants that since receiving this Agreement, Employee she has not made, and going forward will not make, disparaging, defamatory, defaming or derogatory remarks about the Company or its products, services, business practices, directors, officers, managers, managers or employees to anyoneanyone except if testifying truthfully under oath pursuant to a lawful court order or subpoena. The If Employee receives such a court order or subpoena, Employee or Employee’s attorney shall provide the Company with a copy of such court order or subpoena within two (2) business days of Employee’s receipt of it and shall notify the Company of the content of any testimony or information to be provided and shall provide the Company with copies of all documents to be produced. Additionally, Employee represents and agrees that, warrants that since receiving this Agreement, the Company, acting through its current members of the Board of Directors and the officer to whom Employee reports she has not madetaken, and going forward will not maketake, disparagingany action that may impair the relations between the Company and its vendors, defamatorycustomers, employees, or derogatory remarks about Employee. Nothing in this Agreement shall prohibit Employee agents or the Company from participating in any communication that may be detrimental to or interfere with, or disclosing any information to, any representatives of any government agency referenced in Paragraph 5 of this Agreement or shall prohibit either the Company or Employee from providing truthful testimony in response to lawful process, or as otherwise required by lawits business.

Nothing in this Agreement shall prohibit Employee or the Company from participating in any communication with, or disclosing any information to, any representatives of any government agency referenced in Paragraph 5 Section 7 of this Agreement or shall prohibit either the Company or Employee from providing truthful testimony in response to lawful process, or as otherwise required by law.
