Common use of Confidentiality and Public Disclosure Clause in Contracts

Confidentiality and Public Disclosure. From the date of this Agreement until the Closing, none of the Securityholder or the Company shall make any public announcements regarding this Agreement, the Merger Agreement or the transactions contemplated hereby or thereby; provided, however, that nothing herein shall be deemed to prohibit such public announcement (i) that the Company and Parent agree upon, (ii) that either the Company or Parent deems necessary or appropriate under applicable Laws or (iii) required by obligations pursuant to any listing agreement with any national securities exchange or stock market.
