Confidentiality, Intellectual Property and Restrictive Covenants. The Employee hereby acknowledges that, by virtue of her unique relationship with the Company pursuant to this Agreement, the Employee will acquire and have access to Confidential Information and will also develop a unique and comprehensive familiarity with the Company and its Business (as defined below) and affiliates, which the Employee would not have otherwise had but for her employment with the Company, and which the Employee acknowledges are valuable assets of the Company and its affiliates. Accordingly, the Employee agrees to undertake the following obligations, which she acknowledges are reasonably designed to protect the legitimate business interests of the Company and its affiliates, without unreasonably restricting her post-employment opportunities: (i) Except as required by law or as authorized in advance by the Company in furtherance of the Employee’s employment, and subject to Section 9 below, the Employee will not at any time during or after the Employee’s employment directly or indirectly use, disclose, or take any action which may result in the use or disclosure of, any “Confidential Information”.
