Confidentiality of Agreement. The Executive agrees that, except as may be required by applicable law or legal process, during the Term and thereafter, he shall not disclose the terms of this Agreement to any person or entity other than the Executive’s accountants, financial advisors, attorneys or spouse, provided that such accountants, financial advisors, attorneys and spouse agree not to disclose the terms of this Agreement to any other person or entity.

Confidentiality of Agreement. The Executive agrees thatthat he will not disclose to anyone, except for his spouse, family members, attorney, tax advisor, or as may be required by applicable law law, either the terms of or legal processany copy of this Agreement provided, during the Term and thereafterhowever, he shall not that Executive may, upon inquiry, disclose the terms (or a copy) of Sections 15, 16 or 18 of this Agreement to any person prospective or entity other than the Executive’s accountants, financial advisors, attorneys or spouse, provided that such accountants, financial advisors, attorneys and spouse agree not to disclose the terms of this Agreement to any other person or entityfuture employers.

The Executive agrees that, except as may be required by applicable law or legal process, during the Term and thereafter, he shall not disclose or discuss the existence of this Agreement or any of the terms of this Agreement except (i) to any person members of his immediate family, (ii) to his financial advisor or entity other than attorney, but then only to the Executive’s accountantsextent necessary for them to assist him, (iii) to a potential employer on a strictly confidential basis, financial advisorsand then only to the extent necessary for reasonable disclosure in the course of serious negotiations, attorneys or (iv) as required by law or spouse, provided that such accountants, financial advisors, attorneys and spouse agree not to disclose the terms of this Agreement to any other person or entityenforce his legal rights.

The Executive agrees thatto maintain the terms of this Agreement as confidential and neither Executive, nor any person or entity acting on his behalf shall disclose (except as may be required by applicable law or legal processto his legal, during business and financial advisors, but only to the Term and thereafterextent such disclosure is necessary for such persons to render professional services in connection therewith), he shall not disclose the any such terms of this Agreement to any person or entity other than third party, without the Executive’s accountantswritten consent of the Company, financial advisors, attorneys or spouse, provided unless and only to the extent that such accountants, financial advisors, attorneys and spouse agree not to disclose the terms of this Agreement to any other person or entitydisclosure is required by law.
