Confidentiality; Prohibition on Trading. Except for press releases issued by Parent in the ordinary course following Closing, all parties agree to maintain the confidentiality of the existence of this Agreement and the transactions contemplated hereunder, unless disclosure is required by law. Shareholder, Company and their affiliates agree not to trade in the securities of Parent or its affiliates based upon any material nonpublic information.
