Confirmation Memorandum. On or about the Rent Commencement Date for each Phase, Landlord shall prepare and Landlord and Tenant shall each promptly execute, acknowledge and deliver to one another a memorandum in form substantially as set forth in "Exhibit B" hereto, confirming the information set forth in such form (the "Confirmation Memorandum").
Confirmation Memorandum. Following the Commencement Date (and, if applicable, the 12th Floor Commencement Date), Landlord and Tenant shall promptly execute and acknowledge a memorandum in form substantially as set forth in Exhibit "F" hereto, containing the information set forth in said Exhibit (the "Confirmation Memorandum"), including without limitation the Commencement Date (and, if applicable, the 12th Floor Commencement Date) and the Notice Cut-Off Date (as such term is defined in Paragraph 1(d) of the Lease). No failure of either party to execute the Confirmation Memorandum shall be deemed to modify any of the rights of the parties hereto, all of which shall remain in full force and effect notwithstanding any such failure.
