Confirmation of Rating. The Company and the other insurance Subsidiaries of ProAssurance shall not be rated lower than "A-" by A.M. Best Company and Standard & Poors, nor shall the Company or ProAssurance have received notice from A.M. Best Company or Standard & Poors of their intention to lower the rating of the Company or any of the other insurance Subsidiaries of ProAssurance below "A-" after giving effect to the Offer or the Merger.
