Confirmation of Representations and Warranties; Reaffirmation of Security Interest. (a) Each Obligor hereby confirms that all of the representations and warranties set forth in Note Purchase Agreement are true and correct in all material respects with respect to such Borrower as of the date hereof, except to the extent such representations and warranties specifically relate to an earlier date, and covenants to perform its respective obligations under the Note Purchase Agreement. To induce Jxxxxxx to enter into this Limited Consent, the Obligors represent and warrant that:
