Common use of Confirmation Order Clause in Contracts

Confirmation Order. Notwithstanding anything herein to the contrary, this Agreement, and Receiver’s obligations hereunder, are contingent upon entry of an order, entered pursuant to R.C. 2735.04(D)(5), on or before the Closing, by the Court of Common Pleas of Xxxxxxxx County, Ohio (the “Court”) in Case No. A2103778 (the “Action”), which: (1) approves of the sale of the Property in accordance with this Agreement; and (2) authorizes Receiver to execute and deliver a Receiver’s Deed and any other conveyance documents reasonably necessary to vest title of the Property in Buyer free and clear of all monetary liens, except for any liens for real estate taxes and assessments (the “Confirmation Order”).

Notwithstanding anything herein to the contrary, this Agreement, and Receiver’s obligations hereunder, are contingent upon entry of an order, entered pursuant to R.C. 2735.04(D)(52735.04(D)(6), on or before the Closing, by the Court of Common Pleas of Xxxxxxxx Xxxxx County, Ohio (the “Court”) in Case No. A2103778 CV 2018 0344 (the “Action”), which: (1) approves of the sale of the Property in accordance with this Agreement; and (2) authorizes Receiver to execute and deliver a Receiver’s Deed Deed, Receiver’s Xxxx of Sale, and any other conveyance documents reasonably necessary to vest title of the Property in Buyer free and clear of all monetary liens, except for any liens for real estate taxes and assessments (the “Confirmation Order”).

Notwithstanding anything herein to the contrary, this Agreement, and Receiver’s obligations hereunder, are contingent upon entry of an order, entered pursuant to R.C. 2735.04(D)(5), on or before the Closing, by the Court of Common Pleas of Xxxxxxxx Franklin County, Ohio (the “Court”) in Case No. A2103778 18 CVE-11-9185 (the “ActionForeclosure”), which: ) which (1) approves of the sale of the Property Purchased Assets in accordance with this Agreement; and (2) authorizes Receiver to execute and deliver a Receiver’s Deed Deed, Receiver’s Bill of Sale, and any other conveyance documents reasonably necessary to vest title of the Property Purchased Assets in Buyer free and clear of all monetary liens, except for claims, encumbrances, and security interests and any liens for real estate taxes and assessments (the “Confirmation Order”).
