Confirming Parties. Notwithstanding anything in this Agreement to the contrary, the Confirming Parties hereby (i) agree and undertake to procure and ensure that the Existing Shareholders fulfil all their obligations hereunder, and (ii) agree and undertake that they shall be jointly and severally liable with the Existing Shareholders for their obligations, covenants and Warranties hereunder, and to this end, references to the Existing Shareholders contained in this Agreement shall be deemed to include references to the Confirming Parties.
Confirming Parties. In case the Strategic Partner is a Consortium of entities, this Agreement shall be executed through the Lead Member of the Consortium, who shall be primarily responsible for performance of all the obligations under this Agreement. Notwithstanding, anything contained anywhere in this Agreement, the Strategic Partner agrees that irrespective of the Lead Member acting for and on behalf of the Consortium, all the other members of the Consortium shall be jointly and severally liable towards the Authority for the performance of all obligations under this Agreement. The other members of the Consortium besides the Lead Member are executing this Agreement as confirming parties, hereto.
