Conflict Between Agreements. Subject to any applicable law, in the event of any ambiguity or conflict between this agreement and the New Articles, the terms of this agreement shall prevail as between the Shareholders and in such event the Shareholders shall procure such modification to the New Articles as shall be necessary.
Conflict Between Agreements. In the event of any inconsistency, conflict or ambiguity as to the rights and obligations of the parties under this Agreement and any Ancillary Document, the terms of this Agreement shall control and supersede any such inconsistency, conflict or ambiguity.
Conflict Between Agreements. Borrower, the Security Agent and Securities Intermediary agree that, if there is any conflict between this Agreement and any other agreement relating to the Collateral Accounts, the provisions of this Agreement shall control.
Conflict Between Agreements. In the event of any inconsistency or conflict between the terms and provisions of this Lease and the Services Agreement or the Separation Agreement, the terms and provisions of the Services Agreement and the Separation Aggreement shall control.
Conflict Between Agreements. This Agreement shall supersede any prior understanding, agreement, memorandum, letter, rule, ordinance, or other written or oral arrangement between the DEPARTMENT and the EPCHC regarding the delegation of authority to issue, process, or enforce requirements relating to Environmental Resource Permits under part IV of Chapter 373, F.S. This Agreement shall not affect the existing delegation agreement between the EPCHC and the DEPARTMENT concerning mangrove trimming and alteration.
Conflict Between Agreements. In the event of any conflict or inconsistency between this Agreement and any terms or conditions set forth in any Compensation Agreement between the Grantee and the Company, the terms and conditions set forth in this Agreement shall prevail unless such Compensation Agreement expressly provides that the terms therein shall take precedence over any conflicting provisions in this Agreement. Conflict Between Agreements. The parties intend that the provisions of the SPA shall prevail over this Agreement, the JV Constitutional Documents, the Key Agreements and any other agreements entered into between the parties in relation to the JV Business in the event of conflict and, accordingly, the parties shall, if necessary, exercise all voting and other rights and powers available to them whether as JV Shareholders or otherwise, or under this Agreement, to procure any amendment to the JV Constitutional Documents, the Key Agreements and any other agreements entered into between the parties in relation to the JV Business required to give effect to the provisions of this Agreement.
Conflict Between Agreements. 24.1 Subject to any applicable law, in the event of any ambiguity or conflict between this Agreement and the Articles of Association, the terms of this Agreement shall prevail as between SBG and the Company, and in such event the Company and SBG shall procure such modification to the Articles of Association as shall be necessary.
24.2 The Board shall not propose an amendment to the Articles of Association of the Company which would be inconsistent with the provisions of this Agreement without the prior written consent of SBG.
Conflict Between Agreements. The terms and conditions of the NLOI executed by the parties and attached hereto as Exhibit A shall remain in full force and effect subject to the additional terms and conditions set forth in this Agreement. To the extent there is a conflict between the terms and conditions of this Agreement and the terms and conditions of the NLOI, the terms and conditions of this Agreement shall control.
Conflict Between Agreements. To the extent that there is any conflict between this Agreement, the eBSA, or the Privacy Policy, the terms of this Agreement shall be construed to prevail over any other terms.
