Entire Agreement and Severance. 12.1 This document contains the entire agreement between the Parties with respect to the subject matter hereof, and neither Party is relying on any agreement, representation, warranty, or other understanding not expressly stated herein. In the event that any provision of this Agreement will be held to be invalid, illegal or unenforceable in any circumstances, the remaining provisions will nevertheless remain in full force and effect and will be construed as if the unenforceable portion or portions were deleted.
Entire Agreement and Severance. This Agreement contains the entire agreement between the Parties with respect to the subject matter hereof. This Agreement is entered into without reliance on any promise or representation, written or oral, other than those expressly contained herein, and it supersedes and replaces any other agreements or promises made to Executive by anyone concerning Executive's agreement terms, compensation or benefits, whether oral or written (including but not limited the Prior Services Agreement). In the event that any provision of this Agreement will be held to be invalid, illegal or unenforceable in any circumstances, the remaining provisions will nevertheless remain in full force and effect and will be construed as if the unenforceable portion or portions were deleted.
Entire Agreement and Severance. 3.1. This Deed records the entire agreement between the Parties in relation to its subject matter.
3.2. If a court or tribunal finds any provision of this Deed has no effect or interprets a provision to reduce an obligation or right, this does not invalidate, or restrict the operation of, any other provision.
Entire Agreement and Severance. 10.4.1 Each of the parties to this Agreement confirms that this Agreement together with the Subscription Agreement, represents the entire understanding, and constitutes the whole agreement, in relation to its subject matter and supersedes any previous agreement between the parties with respect thereto and, without prejudice to the generality of the foregoing, excludes any warranty, condition or other undertaking implied at law or by custom, usage or course of dealing.
10.4.2 Each party confirms that in entering into this Agreement it has not relied on any representation, warranty, assurance, covenant, indemnity, undertaking or commitment which is not expressly set out or referred to in this Agreement.
10.4.3 If any provision of this Agreement shall be void or unenforceable by reason of any applicable law, it shall be deemed to be deleted and the remaining provisions of this Agreement shall continue in full force and effect.
Entire Agreement and Severance. (a) This Agreement constitutes the entire agreement between the parties and supersedes all previous agreements, arrangements, representations or understandings in respect of its subject matter.
(b) If any provision (or part of a provision) of this Agreement is or becomes unlawful or void, the legality, validity or enforceability of any other part of that provision or any other provision of this Agreement will not be affected, but will continue in full force and effect. The unlawful or void provision will be deleted from this Agreement by written consent of the parties or final court order, but only to the extent of any invalidity so as to preserve the Agreement to the maximum extent.
Entire Agreement and Severance. 14.1 This Agreement represents the entire understanding and constitutes the whole agreement in relation to its subject matter and supersedes any previous agreement between the Parties with respect thereto and, without prejudice to the generality of the foregoing, excludes any warranty, condition or other undertaking implied at law or by custom.
14.2 Each Party confirms that, except as provided in this Agreement, no Party has relied on any representation or warranty or undertaking which is not contained in this Agreement and, without prejudice to any liability for fraudulent misrepresentation, no Party shall be under any liability or shall have any remedy in respect or misrepresentation or untrue statement unless and to the extent that a claim lies under this Agreement.
14.3 In the event that any provision of this Agreement shall be void or unenforceable by reason of any applicable law, it shall be deleted and the remaining provisions hereof shall continue in full force and effect and if necessary, be so amended as shall be necessary to give effect to the spirit of this Agreement so far as possible.
Entire Agreement and Severance. This Agreement, its annexes and the Documents referred to herein constitute the entire agreement between the Parties and supersede and replace any previous agreement, understanding, undertaking or arrangement of any nature whatsoever, whether verbal or in writing, between the Parties relating to the subject matter of this Agreement and those documents referred to herein.
Entire Agreement and Severance. To the extent permitted by law, this Agreement constitutes the entire agreement between the Parties in respect of the Order. In the event that any provision of this Agreement is held to be invalid by a court or tribunal of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect.
Entire Agreement and Severance. 22.1. This Agreement shall supersede all arrangements or agreements relating to the distribution of all or any of the Products previously entered into or made between the Company and the Distributor and all such arrangements or agreements are terminated by this Agreement.
22.2. This Agreement and all terms and conditions referred to in this Agreement represent the entire agreement between the parties and no modification or alteration to this Agreement shall have effect unless the same is agreed in writing between the Company and the Distributor.
22.3. In the event that any provision of this Agreement shall be held or declared void or unenforceable by reason of any provision or applicable law, or should any government or regulatory body refuse (or threatens to refuse) authorization for the same or indicate and intention to levy a penalty or fine in respect of the same, then:
(i) the provision in question shall be deleted and the remaining provisions of this Agreement shall continue in full force and effect; and,
(ii) the parties shall meet to negotiate in good faith to agree upon a valid binding and enforceable substitute provision, with reconsideration of other provisions of this Agreement not so affected where necessary, so as to maintain the economic purposes and intentions of this Agreement.
Entire Agreement and Severance. This Agreement contains the entire understanding of the parties hereto with regard to the subject matter contained herein. The parties hereto, by mutual agreement in writing, may amend, modify and supplement this Agreement. In case any one or more of the provisions contained herein shall, for any reason, be held to be invalid, illegal or unenforceable, such provision(s) shall not affect any other provisions of this Agreement, but this Agreement shall be construed as if such invalid, illegal or unenforceable provision or provisions had never been contained herein. Notwithstanding anything to the contrary herein, Capital may correct the contract numbers, and not the amounts financed under this Agreement, relative to the software and services in Annex I by written notice to the Customer. The captions in this Agreement are for convenience only and shall not define or limit any of the terms hereof.
