Conflict escalation. If there is a conflict between a Committee’s co-chairs, such matter will be escalated to the Executive Director of the Council. • Co-chairs will strive to ensure all Committee decisions are made by consensus. • For any vote by a Committee, each Committee member will have one vote, exercised by its respective Delegate (or Alternate Delegate). • At all meetings of a Committee, the number of Delegates or Alternative Delegates representing a majority of the Committee members (excluding any Committee members who have Inactive Status) shall constitute a quorum for the transaction of business. • Except as otherwise specifically provided in a Committee charter, the act of a majority of the Delegates present at any Committee meeting which a quorum is present shall constitute the act of the Committee. • A Committee member will be deemed to have an “Inactive Status” if such Committee member has not had a Delegate or Alternate Delegate attend the Committee’s two most recent Regular Committee Meetings. • Any Committee member who has an Inactive Status will retain its active status upon its Delegate’s (or Alternate Delegate’s) attendance at a Regular Committee Meeting. • A Committee may also act by the unanimous written consent of the Committee members, excluding any Committee members who have Inactive Status.
