Conflict; Paramountcy. (a) Subject to subsection (b), in the event of any conflict between the provisions of this Agreement and the Articles, or the By-laws, this Agreement shall govern to the extent permitted by Applicable Law. Each of the Shareholders agrees to vote or cause to be voted its Shares so as to cause the Articles or the By-laws to be amended to the extent permitted by Applicable Law or to cause the Corporation to perform such acts as may be necessary to resolve any such conflict in favour of the provisions of this Agreement.

Conflict; Paramountcy. (1) Subject to subsection (3), in the event of any conflict between the provisions of this Agreement and the Articles, the By-laws or any agreement (other than the Partnership Agreement) to which the Corporation and any Shareholder or any Shareholders, become, or may be deemed to be, a party, this Agreement shall govern to the extent permitted by Applicable Law. Each of the Shareholders agrees to vote or cause to be voted its Share so as to cause the Articles or the By- laws to be amended to the extent permitted by Applicable Law or to cause the Corporation to perform such acts as may be necessary to resolve any such conflict in favour of the provisions of this Agreement.

  • Conflict with Base Indenture To the extent not expressly amended or modified by this Supplemental Indenture, the Base Indenture shall remain in full force and effect. If any provision of this Supplemental Indenture relating to the Notes is inconsistent with any provision of the Base Indenture, the provision of this Supplemental Indenture shall control.
