Conflict with Other Agreements; Approvals. The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD which violation would have a material adverse effect on UGOD taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD in connection with the execution and delivery of this Agreement by UGOD or the consummation by UGOD of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD BEAUTILINK in connection with the execution and delivery of this Agreement by UGOD BEAUTILINK or the consummation by UGOD BEAUTILINK of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD GREEN DRAGON FL in connection with the execution and delivery of this Agreement by UGOD GREEN DRAGON FL or the consummation by UGOD GREEN DRAGON FL of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD Vibrosaun in connection with the execution and delivery of this Agreement by UGOD Vibrosaun or the consummation by UGOD Vibrosaun of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD DRACO in connection with the execution and delivery of this Agreement by UGOD DRACO or the consummation by UGOD DRACO of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD FIT SUM in connection with the execution and delivery of this Agreement by UGOD FIT SUM or the consummation by UGOD FIT SUM of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD the COMPANY in connection with the execution and delivery of this Agreement by UGOD the COMPANY or the consummation by UGOD the COMPANY of the transactions contemplated hereby.

The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not (i) result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "“violation"”) pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD AOBO or, (ii) result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD AOBO, which violation would have a material adverse effect on UGOD AOBO taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "“Governmental Entity"”) is required by or with respect to UGOD AOBO in connection with the execution and delivery of this Agreement by UGOD AOBO or the consummation by UGOD AOBO of the transactions contemplated hereby.

The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "“violation"”) pursuant to any provision of the Articles Certificate of Incorporation or Bylaws or any organizational document of UGOD PhoneBrasil or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD PhoneBrasil which violation would is reasonably likely to have a material adverse effect on UGOD PhoneBrasil taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "“Governmental Entity"”) is required by or with respect to UGOD PhoneBrasil in connection with the execution and delivery of this Agreement by UGOD PhoneBrasil or the consummation by UGOD PhoneBrasil of the transactions contemplated hereby, except as contemplated by this Agreement or required under the Securities Act and applicable state securities laws.

The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD TUNEX or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD TUNEX which violation would have a material adverse effect on UGOD TUNEX taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD TUNEX in connection with the execution and delivery of this Agreement by UGOD TUNEX or the consummation by UGOD TUNEX of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD Xxxxxxx in connection with the execution and delivery of this Agreement by UGOD Xxxxxxx or the consummation by UGOD Xxxxxxx of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD HUAYANG in connection with the execution and delivery of this Agreement by UGOD HUAYANG or the consummation by UGOD HUAYANG of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD AOBO in connection with the execution and delivery of this Agreement by UGOD AOBO or the consummation by UGOD AOBO of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD WPB in connection with the execution and delivery of this Agreement by UGOD WPB or the consummation by UGOD WPB of the transactions contemplated hereby.

No Except as otherwise set forth in Chinese laws, to the knowledge of Leopard there is no consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD LEOPARD in connection with the execution and delivery of this Agreement by UGOD LEOPARD or the consummation by UGOD LEOPARD of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD FJCC in connection with the execution and delivery of this Agreement by UGOD FJCC or the consummation by UGOD FJCC of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD GCD in connection with the execution and delivery of this Agreement by UGOD GCD or the consummation by UGOD GCD of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "“Governmental Entity"”) is required by or with respect to UGOD Aspen in connection with the execution and delivery of this Agreement by UGOD Aspen or Merger Sub or the consummation by UGOD Aspen or Merger Sub of the transactions contemplated hereby.

No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD ALPINE, INC. in connection with the execution and delivery of this Agreement by UGOD ALPINE, INC. or the consummation by UGOD ALPINE, INC. of the transactions contemplated hereby.

The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD GCNL or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD GCNL which violation would have a material adverse effect on UGOD GCNL taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD GCNL in connection with the execution and delivery of this Agreement by UGOD GCNL or the consummation by UGOD GCNL of the transactions contemplated hereby.

Conflict with Other Agreements; Approvals. The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD GOLDEN MEDIA or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD GOLDEN MEDIA which violation would have a material adverse effect on UGOD GOLDEN MEDIA taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD GOLDEN MEDIA in connection with the execution and delivery of this Agreement by UGOD GOLDEN MEDIA or the consummation by UGOD GOLDEN MEDIA of the transactions contemplated hereby.

Conflict with Other Agreements; Approvals. The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD V2K or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD V2K which violation would have a material adverse effect on UGOD V2K taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD V2K in connection with the execution and delivery of this Agreement by UGOD V2K or the consummation by UGOD V2K of the transactions contemplated hereby.

Conflict with Other Agreements; Approvals. The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD CAXG or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD CAXG which violation would have a material adverse effect on UGOD CAXG taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD CAXG in connection with the execution and delivery of this Agreement by UGOD CAXG or the consummation by UGOD CAXG of the transactions contemplated hereby.

The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD ANI or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD ANI which violation would have a material adverse effect on UGOD ANI taken as a whole. No To the knowledge of ANI there is no consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD ANI in connection with the execution and delivery of this Agreement by UGOD ANI or the consummation by UGOD ANI of the transactions contemplated hereby.

The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss Amended Agreement For Share Exchange or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD TGI or, result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD TGI which violation would have a material adverse effect on UGOD TGI taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD TGI in connection with the execution and delivery of this Agreement by UGOD TGI or the consummation by UGOD TGI of the transactions contemplated hereby.

Conflict with Other Agreements; Approvals. The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not result in any violation of, or default (with or without notice or lapse of time, or both) under, or give rise to a right of termination, cancellation or acceleration of any obligation or the loss of a material benefit under, or the creation of a lien, pledge, security interest or other encumbrance on assets (any such conflict, violation, default, right of termination, cancellation or acceleration, loss or creation, a "violation") pursuant to any provision of the Articles of Incorporation or Bylaws or any organizational document of UGOD orCHEY or YaKeLa, or result in any violation of any loan or credit agreement, note, mortgage, indenture, lease, benefit plan or other agreement, obligation, instrument, permit, concession, franchise, license, judgment, order, decree, statute, law, ordinance, rule or regulation applicable to UGOD CHEY or YaKeLa which violation would have a material adverse effect on UGOD CHEY or YaKeLa taken as a whole. No consent, approval, order or authorization of, or registration, declaration or filing with, any court, administrative agency or commission or other governmental authority or instrumentality, domestic or foreign (a "Governmental Entity") is required by or with respect to UGOD CHEY or YaKeLa in connection with the execution and delivery of this Agreement by UGOD or the consummation by UGOD CHEY or YaKeLa of the transactions contemplated hereby.
