Conflict with the Shareholders' Agreement. β€Œ The provisions of this constitution shall be construed having regard to the terms of the Shareholders' Agreement, and to the extent that there is any conflict or inconsistency between the terms of this constitution and the Shareholders' Agreement, the provisions of the Shareholders' Agreement shall prevail unless a requirement of the Companies Act is mandatory.
