Common use of Conflicting Laws and Contracts Clause in Contracts

Conflicting Laws and Contracts. Neither the execution and delivery by the Lessee of this Lease, the creation and perfection of the security interest in the Collateral granted hereunder, nor compliance with the terms and provisions hereof will violate any law, rule, regulation, order, writ, judgment, injunction, decree or award binding on any Lessee or Lessee's articles or certificate of incorporation or by-laws, partnership agreements, or operating agreements, as the case may be, the provisions of any indenture, instrument or agreement to which Lessee is a party or is subject, or by which it, or its property, is bound, or conflict with or constitute a default thereunder, or result in the creation or imposition of any Encumbrance pursuant to the terms of any such indenture, instrument or agreement.

Neither the execution and delivery by the Lessee Borrower of this LeaseSecurity Agreement, the creation and perfection of the security interest in the Collateral granted hereunder, nor compliance with the terms and provisions hereof will violate any law, rule, regulation, order, writ, judgment, injunction, decree or award binding on any Lessee Borrower or Lessee's Borrower’s articles or certificate of incorporation or by-lawsincorporation, partnership agreementsbylaws, articles of organization or operating agreementsagreement or other charter documents, as the case may be, the provisions of any indenture, instrument or agreement to which Lessee Borrower is a party or is subject, or by which it, or its property, is bound, or conflict with or constitute a default thereunder, or result in the creation or imposition of any Encumbrance Lien pursuant to the terms of any such indenture, instrument or agreementagreement (other than any Lien of Bank).
