Conflicts and Severability Sample Clauses

Conflicts and Severability. To the extent that any terms in the attached proposal conflict with the terms of this Agreement, the terms of this Agreement shall control and supersede such conflicting terms in the attached proposal, to the extent of such conflict. If any section, part of section, paragraph, clause, phrase, or word of this Agreement is declared invalid, the remaining provisions of this Agreement shall not be affected.

Conflicts and Severability. In the event of any conflict between the terms and provisions of this Escrow Agreement and those of the Stock Purchase Agreement, the terms and conditions of this Escrow Agreement shall control. If any provision of this Escrow Agreement is determined to be prohibited or unenforceable by reason of any applicable law of a jurisdiction, then such provision shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions thereof, and any such prohibition or unenforceability in such jurisdiction shall not invalidate or render unenforceable such provisions in any other jurisdiction. Where, however, the conflicting provisions of any such applicable law may be waived, they are hereby irrevocably waived by the parties hereto to the fullest extent permitted by law, to the end that this Escrow Agreement shall be enforced as written.

Conflicts and Severability. (a) As between the Escrow Agent on one hand and the Parties party to the Tender and Support Agreement and the Depositary Agreement on the other, in the event of any conflict between the terms and provisions of this Agreement and those of the Tender and Support Agreement or the terms and provisions of this Agreement and those of the Depositary Agreement, the terms and conditions of this Agreement shall control. (b) If any provision of this Agreement is determined to be prohibited or unenforceable by reason of any applicable law of a jurisdiction, then such provision shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions thereof, and any such prohibition or unenforceability in such jurisdiction shall not invalidate or render unenforceable such provisions in any other jurisdiction. Where, however, the conflicting provisions of any such applicable law may be waived, they are hereby irrevocably waived by the Parties hereto to the fullest extent permitted by law, to the end that this Agreement shall be enforced as written and the commercial purpose of this Agreement shall be preserved. Notwithstanding the foregoing, if such excluded provisions shall affect the rights, immunities, duties or obligations of the Escrow Agent, subject to providing at least 10 days’ prior written notice to Sembcorp and Biwater, the Escrow Agent shall be entitled to resign.

Conflicts and Severability. With respect to the rights, duties, liabilities and obligations of the Escrow Agent, in the event of any conflict between the terms and provisions of this Escrow Agreement and those of the Merger Agreement or any other agreement or understanding, the terms and conditions of this Escrow Agreement shall control. With respect to the rights, duties and obligations of the Parent, UK Acquiror and Representative, in the event of any conflict between the terms and provisions of this Escrow Agreement and those of the Merger Agreement, the terms and conditions of this Escrow Agreement shall control. If any provision of this Escrow Agreement is determined to be prohibited or unenforceable by reason of any applicable law of a jurisdiction, then such provision shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions thereof, and any such prohibition or unenforceability in such jurisdiction shall not invalidate or render unenforceable such provisions in any other jurisdiction. Where, however, the conflicting provisions of any such applicable law may be waived, they are hereby irrevocably waived by the parties hereto to the fullest extent permitted by law, to the end that this Escrow Agreement shall be enforced as written; provided, however, that if such excluded provisions shall effect the rights, immunities, duties or obligations of the Escrow Agent, the Escrow Agent shall be entitled to resign immediately.

Conflicts and Severability. Conflicts among the documents composing this Lease shall be resolved in favor of the document that appears earliest in the following list: a. Lease amendments, with later amendments superseding inconsistent provisions of earlier amendments; b. This Lease including all Exhibits. c. LOUNGE CONCESSION at PHX RCS Response If any provision of this Lease is ruled invalid or unenforceable by a court, then the provision shall be modified to the extent necessary to make it valid or enforceable, if practicable, and the remaining provisions of this Lease shall remain unchanged and in full force and effect, provided that elimination of the offending provision does not materially prejudice either Party’s rights or obligations under this Lease, in which case this Lease will terminate.

Conflicts and Severability. Developer agrees that this Agreement is subject to the requirements for the Lynnwood Multi-Family Housing Tax Exemption set forth in the Lynnwood Municipal Code, Chapter 3.82 and the Transportation Impact Fee exemption set forth in the Lynnwood Municipal Code, Chapter 3.105. To the extent that any provision of this Agreement conflicts with any applicable ordinance, law, or regulation, (1) the provisions of the ordinance, law or regulation shall control; and (2) such conflict shall not affect other terms of this Agreement which can be given effect without the conflicting term or clause, and to this end, the terms of the Agreement are declared to be severable.

Conflicts and Severability. The terms and conditions of this Agreement shall override and control any conflicting terms or conditions of any other agreement between the parties to the extent such conflict involves an issue related to HIPAA, the Privacy Regulations, the Security Regulations, the EDI Standards, and/or the GLBA Rules. If any provision(s) of this Agreement shall be held to be invalid, illegal or unenforceable, the same shall be deemed to be severable and deleted from this Agreement, and the remaining provisions construed so as to most nearly effectuate the original intention of the parties and HIPAA, the Privacy Regulations, the Security Regulations, the EDI Standards, and the GLBA Rules.
