Common use of Conflicts, Disclosures of Interest Clause in Contracts

Conflicts, Disclosures of Interest. (a) All Member Representatives will, upon appointment and annually thereafter, provide to the Secretary of the Company and each Member, a notice of all Entities of which they are officers, directors or managers or in which they are otherwise interested, together with a brief description of such interest. Member Representatives shall not be required to devote their full time and efforts to the Company, but only so much of their time and efforts as is reasonably necessary to perform their duties and responsibilities to the Company. The Member Representatives may engage for their own accounts and for the accounts of their Members and other Member Representatives in any business activities or ventures.
