CONFLICTS OF INTEREST (COI. 26.1 The Contractor shall take appropriate steps to ensure that neither the Contractor nor any Staff is placed in a position where, in the reasonable opinion of the Authority, there is or may be an actual COI, or a potential COI, between the pecuniary or personal interests of the Contractor and the duties owed to the Authority under the provisions of the Contract. The Contractor will disclose to the Authority in writing full particulars of any such conflict of interest which may arise. 26.2 Where an actual COI, or a potential COI, is identified, the Authority reserves the right to require an appropriate formal Compliance Regime (CR) agreement to be implemented between the Authority and the Contractor. 26.3 Where compliance regime principles are not explicitly stated within a Contractor’s articles of association or within associated company legal documentation, these requirements will need to be effected by including them in the Contract 26.4 The Authority reserves the right to terminate the Contract immediately by notice in writing and/or to take such other steps it deems necessary where, in the reasonable opinion of the Authority, there is an actual COI, or a potential COI, between the pecuniary or personal interests of the Contractor and the duties owed to the Authority under the provisions of the Contract. The actions of the Authority pursuant to this clause shall not prejudice or affect any right of action or remedy which shall have accrued or shall thereafter accrue to the Authority.
