Connectivity Services. 2.1 The Exchange will provide Customer with the Connectivity Services through Customer’s System for the purpose of providing Authorized Entities with access to the Exchange Systems and for no other purposes. Nothing in this Agreement constitutes an undertaking by or obligation of the Exchange to continue to: (i) provide the Connectivity Services or access to the Exchange Systems, or any aspect of one or both, in its current form or configuration or by utilizing the equipment in place as of the date of this Agreement; or (ii) use existing communications facilities, except as expressly provided in this Agreement.
2.2 The Exchange may, at any time and in its sole discretion, make additions, deletions or modifications (collectively, “Changes”) to the Exchange Systems or any aspect of them, including the interface and operational requirements, whether or not such Changes would require changes to be made by Customer. The Exchange will use commercially reasonable efforts to notify Customer before any material Change to the operational requirements of the Exchange Systems (including any Change to the speed, format or operating hours thereof) is effective, unless a malfunction in the Exchange Systems, an emergency situation, or a regulatory notice, order or direction precludes such advance notice. Customer’s use of the Connectivity Services following implementation of such Change constitutes Customer’s acceptance of such Change. Customer is solely responsible for making modifications to Customer’s System which may be required to permit Customer and Authorized Entities continued use of the Connectivity Services through Customer’s System following any Change.
2.3 Customer’s access to the Exchange Systems granted hereunder is non-assignable and non- transferable and is provided on a non-exclusive basis. The Exchange reserves the right to provide access to the Exchange Systems to any other person by any means whatsoever, whether directly or indirectly, including by means of devices or equipment designed or manufactured by the Exchange or any other person.
2.4 The Exchange will not provide support for Customer’s System.
Connectivity Services. Connectivity Services refers to electronic data network services that Epicor makes available to Customers, most commonly under the brand name “Epicor Parts Network” (or “EPN”), AConnex, Internet Auto Parts (or “IAP”), or Internet Service Estimator (or “ISE”). Connectivity Services consists of an electronic network that enables companies to buy and/or sell automotive parts and a software interface or software development kit that enables and/or facilitates access to Connectivity Services. Connectivity Services also refers to our services that help enable automotive “estores” (or electronic automotive marketplaces) for buyers and/or sellers of automotive parts. If your Order lists Connectivity Services, the Connectivity Supplement also applies to your Order for and use of our Connectivity Services.
Connectivity Services. 2.1.1 This paragraph 2 applies if You purchase a Connectivity Service from Us as selected on Your Application Form.
2.1.2 We will issue to You with a username and password so that You may manage Your Connectivity Service.
2.1.3 We reserve the right to make changes to the specification of the Connectivity Service without notice, where such changes are not to Your material detriment. If such changes may be to Your material detriment, the provisions of Clause 13.9 of the terms and conditions of the Agreement.
2.1.4 Unless otherwise notified, Your Connectivity Service will be renewed on an annual or monthly basis depending on the Connectivity Service provided and as outlined in the Price List.
2.1.5 You will not be entitled to a refund of Your Charges for Your Connectivity Service if You terminate Your Connectivity Service during the Minimum Period. Connectivity Service limitations
2.1.6 You will not use the Connectivity Service nor permit the Connectivity Service to be used for the transmission or publication of information (including images and sound files) which is criminal, defamatory, or in breach of Our Acceptable Usage Policy or a third party's Intellectual Property Rights or rights of confidentiality, including a breach of Confidential Information, and will indemnify Us for and against all losses, liabilities, costs (including legal costs) and expenses which We may incur in the event of such information being transmitted or published.
2.1.7 You must not use the account(s) provided to You for the purpose of obtaining unauthorised access to any computer or Service, nor disclose any passwords provided to any third party, for any reason other than by order of the court.
Connectivity Services. 2.1.1 This paragraph 2 applies if You purchase a Connectivity Service from Us as selected on Your Application Form.

2.1.4 You use the internet at Your own risk and it is Your responsibility to make sure that any Equipment and security software You use is up to date and protected against viruses. You must keep any passwords and User identification information secure and confidential. We are not liable for any loss of service or consequential costs or consequential losses of any kind resulting from any unauthorized access to Your Service(s) howsoever made. We will reset passwords on request but such resets are also subject to the conditions of this paragraph. Faults with the Connectivity Service
2.1.5 If You suffer or suspect a fault with the Connectivity Service then You should contact Our Customer Services Team. If You try and contact any Third Party Operator it is likely that they will ask You to contact Us.
2.1.6 We will work on any fault that is reported to Us according to the Fault Repair Service We have agreed to provide to You. The Fault Repair Services are explained in Our Price List.
2.1.7 You agree that You will be responsible for all charges that You incur or We incur on Your behalf in respect of any repairs made to fix faults with the Connectivity Service unless the fault is the result of any act or omission of Us or a Third Party Operator.
2.1.8 You acknowledge and agree that We may pass on Third Party Operator charges for any faults caused by You or as a result of erosion or damp at Your premises.
2.1.9 If We decide that an engineer should be sent to Your premises in connection with a fault and that engineer arrives within an agreed appointment time, You will incur an administration fee if You are not available at the agreed time. We will use reasonable efforts to ensure that the engineer’s appointment is on Your preferred date, although We cannot guarantee this.
2.1.10 If an engineer attends a fault and decides the fault is with the Customer Equipment then You will be charged for any work carried out and the engineer may disconnect the Customer Equipmen...
Connectivity Services. 7.1 Koris365 shall provide the Connectivity Services in accordance with this Clause 7.
7.2 Provision of the Connectivity Services shall commence on the ‘Commencement date’ for the Connectivity Services (as specified in the Proposal or Quote) and continue for the ‘Service period’ for the Connectivity Services (such period being as specified in the Proposal or Quote) following which the Connectivity Services shall continue to be provided unless or until terminated in accordance with this Agreement. The Connectivity Services may be terminated by either party on the date of expiry of the ‘Service period’ for the Connectivity Services (such period being as specified in the Proposal or Quote) or any subsequent anniversary of such date of expiry by giving a minimum of three (3) months’ prior written notice to the other party.
7.3 Koris365 shall use its reasonable endeavours to provide the Connectivity Services. The Customer agrees that Koris365's provision of Connectivity Services is dependent on the performance, availability, and functionality of third-party services and networks, and the Internet. The Customer agrees that Koris365 is not responsible for any adverse impact on the Connectivity Services arising from the performance, availability, and functionality of third-party services and networks, and / or the Internet.
7.4 The Customer: (a) shall comply with any additional terms of use for the Connectivity Services which may be set out in the Connectivity Services Description; and (b) must not sub-license the use of, or permit third parties to use (whether directly, or as part of a managed service), the Connectivity Services.
7.5 The Customer acknowledges that the Connectivity Service is a standardised and commercially available service that has not been developed specifically for the Customer. Therefore, it is the Customer’s responsibility to understand and implement any working practice changes required to make use of the Connectivity Service.
7.6 The Customer shall not use the Connectivity Services for any unlawful purpose or to send or receive data which is objectionable, including material, which is pornographic, obscene, defamatory or threatening in any way or which infringes the rights of any third party.
Connectivity Services. ATG Solution/ATG4 Solution: [***], session-based pricing from Gogo to American shall be as shown in the table below. American shall retain [***] of User session revenue, net of any taxes collected on the sale of sessions pursuant to Section 15 of the Agreement. [***].
Connectivity Services. Subject to the draw-down described in Section 6.1 above, for the Connectivity Services provided by Excite@Home hereunder, iBEAM will pay Excite@Home the fees as set forth on the attached Exhibit A at the time and in the amounts as set forth therein.
Connectivity Services. The following terms apply to AirLink Service Offers that include Connectivity Services:
Connectivity Services a. Provide Internet IP addresses for @Home service users.
b. Interconnect the @Home backbone to the rest of the Internet through a high speed connection to certain Network Access Points (NAPs). The speed of the connection is expected to be equal to or greater than 45 Mbps.
c. Provide peering agreements for NAP interconnection.
d. Provide Internet mail (IMAP compatible) and chat service (IRC compatible).
e. Provide connectivity to other on-line hosting services.
f. Provide dial-up access for traveling subscribers at an additional cost to the subscriber based on usage above a minimum.
Connectivity Services. To the extent that the Service Provider is accessing the Trading System through connectivity services provided by a third party, such a party’s connectivity services shall be approved by NGM. In the event that the Service Provider desires to change approved used connectivity services or such services for any reason are materially changed, the change shall be notified to NGM well in advance, and NGM shall approve thereof before the intended change is implemented. NGM may designate one or more appropriate connectivity suppliers to be used by the Service Provider. The Service Provider shall bear all costs in relation to the connection to and use of such connectivity services, and all costs associated with the continued connection thereto.
