Consent and Jurisdiction. Each party irrevocably and unconditionally agrees and consents that any suit, action or other legal proceeding arising out of or related to this Agreement shall be brought and heard in New York County, State of New York and each party irrevocably consents to personal jurisdiction in any and all tribunals in said County.
