Common use of Consent Fee Clause in Contracts

Consent Fee. The Administrative Agent shall have received, for the account of each Lender that has submitted to the Administrative Agent an executed Lender Consent Letter no later than 5:00 p.m., New York City time, on March __, 2005, a consent fee in an amount equal to 0.05% of the aggregate amount of each such Lender’s Assumed Letter of Credit Commitment, Revolving Credit Commitment and outstanding principal amount of Tranche B Term Loan;

Consent Fee. The Administrative Agent shall have receivedreceived payment from the Borrower, in same day funds, for the account of each Term Lender that has submitted to the Administrative Agent delivers an executed Lender Consent Letter no later than counterpart signature page to this Amendment at or prior to 5:00 p.m., New York City time, on March __June 12, 20052013 (such time, the “Deadline”) a consent fee in an aggregate amount equal to 0.050.125% of the aggregate amount of each such Lender’s Assumed Letter of Credit Commitment, Revolving Credit Commitment and outstanding principal amount of Tranche B Term Loan;Loans held by such Lender as of the Deadline; and

Consent Fee. The Administrative Agent shall have received, received from the Borrower a consent fee payable in Dollars for the account of each Lender that has submitted returned an executed signature page to this Amendment to the Administrative Agent an executed Lender Consent Letter no later than at or prior to 5:00 p.m., New York City timetime on August 1, on March __, 20052013 (the “Consent Deadline” and each such Lender, a consent fee in an amount “Consenting Lender”) equal to 0.050.10% of the aggregate amount of each such Lender’s Assumed Letter of Credit Commitment, Revolving Credit Commitment and outstanding principal amount of Tranche B Term Loan;Loans held by such Consenting Lender as of the Consent Deadline.

Consent Fee. The Administrative Agent shall have received, for the account of each Lender that has submitted delivers an executed signature page to this Amendment to the Administrative Syndication Agent an executed Lender Consent Letter no later than prior to 5:00 p.m., New York City time, on March __December 27, 20052001, a consent fee in an amount equal to 0.050.125% of the aggregate amount sum of each such Lender’s Assumed Letter of Credit Commitment, Revolving Credit Commitment and (i) the outstanding principal amount of Tranche B Term Loan;Loans owing to such Lender plus (ii) such Lender's Percentage of the Commitment to make Revolving Loans multiplied by the Revolving Loan Commitment Amount on such date.

Consent Fee. The Term Administrative Agent shall have received, received from the Borrower a consent fee payable in Dollars for the account of each Term Lender that has submitted returned an executed counterpart to this Amendment to the Term Administrative Agent an executed Lender Consent Letter no later than at or prior to 5:00 p.m., New York City timetime on January 26, on March __, 20052011 (the “Consent Deadline” and each such Term Lender, a consent fee in an amount “Consenting Lender”) equal to 0.050.25% of the aggregate amount of each such Lender’s Assumed Letter of Credit Commitment, Revolving Credit Commitment and outstanding principal amount of Tranche B the Term Loan;Loans held by such Consenting Lender as of the Consent Deadline.

Consent Fee. The Administrative Agent shall have received, received from the Borrower a consent fee payable in Dollars for the account of each Term B-1 Lender that has submitted returned an executed signature page to this Amendment to the Administrative Agent an executed Lender Consent Letter no later than 5:00 p.m.at or prior to noon, New York City timetime on October 11, on March __, 20052012 (the “Consent Deadline” and each such Lender, a consent fee in an amount “Consenting Lender”) equal to 0.050.25% of the aggregate amount of each such Lender’s Assumed Letter of Credit Commitment, Revolving Credit Commitment and outstanding principal amount of Tranche B Term Loan;B-1 Loans held by such Consenting Lender as of the Consent Deadline with respect to which a consent was delivered.

Consent Fee. The Borrower shall have paid to the Administrative Agent shall have received, for the account of each Lender that has submitted executed and delivered a signature page hereto to the Administrative Agent an executed Lender Consent Letter no later than prior to 5:00 p.m., p.m. (New York City time, ) on March __23, 2005, a 2022 (or such later date and time specified by the Borrower and notified in writing to the Lenders by the Administrative Agent) the consent fee specified in an amount equal to 0.05% of the aggregate amount of each such Lender’s Assumed Letter of Credit Commitmentposting memorandum dated March 16, Revolving Credit Commitment and outstanding principal amount of Tranche B Term Loan;2022.
