Common use of Consent of Depositaries Clause in Contracts

Consent of Depositaries. So long as any Depositary Agreement is in effect, (i) no Supplemental Indenture which materially adversely affects the rights, duties or immunities of the Depositary created by this Indenture or the Depositary Agreement (including, if applicable, such duties and obligations as Note Registrar and Authenticating Agent hereunder) shall become effective unless and until delivery to the Trustee of a written consent of the Depositary to such Supplemental Indenture, and (ii) the Trustee shall promptly furnish to the Depositary a copy of each Supplemental Indenture.
