Consent of Insurer. In the event that the Insurer’s consent is required under the terms hereof or any term of the Trust Agreement, it is understood and agreed that, except as otherwise provided expressly herein or therein, the determination whether to grant or withhold such consent shall be made solely by the Insurer in its absolute discretion. The Insurer hereby agrees that it will respond to any request for consent in a timely manner, taking into consideration the business of the Depositor.
