Common use of Consent of Lessee to Other Documents Clause in Contracts

Consent of Lessee to Other Documents. The Lessee hereby consents in all respects to the execution and delivery of the Trust Agreement, the Indenture, the Intercreditor Agreement and the Liquidity Facilities and to all of the terms of said documents, and the Lessee acknowledges receipt of an executed counterpart of such documents; it being agreed that such consent shall not be construed to require the Lessee's consent to any future supplement to, or amendment, waiver or modification of, the terms of the Trust Agreement, the Indenture, the Intercreditor Agreement, the Liquidity Facilities or the Certificates, except that prior to the occurrence and continuance of an Event of Default, no section of the Indenture, the Trust Agreement, the Intercreditor Agreement or the Liquidity Facilities shall be amended or modified in any manner materially adverse to the Lessee without its consent.

The Lessee hereby consents in all respects to the execution and delivery of the Trust Agreement, the IndentureIntercreditor Agreement, the Intercreditor Agreement and the Liquidity Facilities and the Indenture and to all of the terms of said documents, and the Lessee acknowledges receipt of an executed counterpart of each of such documents; it being agreed that such consent shall not be construed to require the Lessee's consent to any future supplement to, or amendment, waiver or modification of, of the terms of the Trust Agreement, the Indenture, the Intercreditor Agreement, the Liquidity Facilities or the Certificates, except that prior to the occurrence and continuance of an Event of Default, no section of the Indenture, the Trust Intercreditor Agreement, the Intercreditor Agreement Liquidity Facilities or the Liquidity Facilities Trust Agreement shall be amended or modified in any manner materially adverse to the Lessee without its consent.

The Lessee hereby consents in all respects to the execution and delivery of the Indenture, the Trust Agreement, the Indenture, the Intercreditor Agreement and the Liquidity Facilities as initially executed and to all of the terms of said such documents, and the Lessee acknowledges receipt of an executed counterpart of such documents; it being agreed that such consent shall not be construed to require the Lessee's consent to any future supplement to, or amendment, waiver or modification of, of the terms of the Trust Agreement, the Indenture, the Intercreditor AgreementAgreement or the Liquidity Facilities, the Liquidity Facilities Trust Agreement or the Certificates, in each case as originally executed, except that prior to the occurrence and continuance of an Event of Default, no section of the Indenture, the Trust Agreement, the Intercreditor Agreement or the Liquidity Facilities Facilities, in each case as originally executed, shall be amended or modified in any manner materially adverse to the Lessee without its consent.
