Common use of Consent of the Policy Provider Clause in Contracts

Consent of the Policy Provider. No disclosure relating to the Policy or the Policy Provider contained in the Exchange Offer Registration Statement, which disclosure modifies, alters, changes, amends or supplements the disclosure relating to the Policy or the Policy Provider contained in the Offering Memorandum, shall be made without the Policy Provider's prior written consent. In the event that the consent of the Policy Provider is required under any of the Operative Agreements, the determination whether to grant or withhold such consent shall be made by the Policy Provider in its sole discretion without any implied duty towards any other Person, except as otherwise expressly provided therein.
