Common use of Consent of the Servicer and the Backup Servicer Clause in Contracts

Consent of the Servicer and the Backup Servicer. The Issuer agrees that it will not permit to become effective any supplemental indenture that adversely affects the obligations or rights of the Servicer or, to the extent that such supplemental indenture would adversely affect the Backup Servicer in its capacity as successor Servicer, the Backup Servicer or the amount or priority or payment of any fees or other amounts payable to the Servicer or Backup Servicer unless, in each such case the Servicer or, as applicable, the Backup Servicer, has been given prior written notice of such supplemental indenture and has consented thereto in writing.
