Common use of Consent to Agreed-Upon Procedures Clause in Contracts

Consent to Agreed-Upon Procedures. Each Lender and Funding Agent, by becoming a party to this Agreement, authorizes the Administrative Agent (a) to execute on its behalf a letter agreement with respect to the limited engagement of, and consenting to the agreed-upon procedures to be performed by, the certified public accountants of the Parent Guarantor and its Subsidiaries on behalf of the Administrative Agent, the Lenders and the Funding Agents in connection with the transactions contemplated by the Transaction Documents so long as such procedures are consistent with Section 5.02; and (b) to approve additional agreed-upon procedures.

Each Lender of the Purchasers and Funding Agentthe Purchaser Agents, by becoming a party to this Agreement, authorizes the Administrative Agent (a) to execute on its behalf a letter agreement with respect to the limited engagement of, and consenting to the agreed-agreed upon procedures to be performed by, the certified public a firm of nationally recognized independent accountants of the Parent Guarantor and its Subsidiaries on behalf of or collateral auditors, in either case acceptable to the Administrative Agent, the Lenders and the Funding Agents Agent in connection with the transactions contemplated by the Transaction Documents so long as such procedures are consistent with Section 5.025.2 (Inspections; annual agreed upon procedures audit); and (b) to approve additional agreed-agreed upon procedures.
