Common use of Consent to Certain Agreements Clause in Contracts

Consent to Certain Agreements. Notwithstanding the foregoing provisions of this subsection 7.13, on or after the Closing Date, the Borrowers may enter into amendments to the HVAC Services Agreement (to provide for the provision of heating, ventilation and air conditioning to the Phase II Project) and the Cooperation Agreement (to (i) cover the relationship between the Existing Facility and the Phase II Project and/or the relationship between the Phase II Project and the Phase II Mall, and to otherwise reflect the fact that the integrated complex includes, or will include, the Existing Facility and the Phase II Project, and (ii) replace the reference to "one (1) year" in the second sentence of Section 13 of Article X with a reference to "three (3) years"), in each case, pursuant to the terms of Section 6.1 of the Disbursement Agreement (while still in effect), and in each case in form and substance reasonably satisfactory to the Administrative Agent.
